"Buyer" means Polymershapes LLC, Polymershapes LLC dba Insulgard Security Products (“Insulgard”) and Polymershapes business operations in Mexico. "Seller" means the party selling the applicable products or services to Buyer. By selling products or services to Buyer, Seller confirms that the following terms and conditions apply to Buyer's purchases. Any modifications must be in writing and signed by Buyer. References to "products" include items specifically provided for in the Purchase Agreement (as defined below) or incorporated in services Buyer purchases from Seller.
1. TERMS AND CONDITIONS OF PURCHASE. (a) Any products or services Buyer purchases from Seller by electronic, phone, paper or any other form of transmission, are purchased subject to the following: (i) if Seller already has a fully signed purchase agreement currently in effect with Buyer, then the terms of that agreement, together with any terms and conditions of this purchase order and any subsequent purchase orders issued hereunder not in conflict with that agreement, constitute the complete agreement; and (ii) if Seller does not already have a fully signed purchase agreement with Buyer, then the terms and conditions of this purchase order and any subsequent purchase orders issued hereunder constitute the complete agreement. The complete agreement as stated hereinabove shall be referred to as the "Purchase Agreement". (b) Seller may not assign or subcontract its obligations under the Purchase Agreement without the prior written consent of Buyer, and if Seller does so, the assignment or subcontract will be void. (c) The Purchase Agreement shall be governed by, and interpreted under, the substantive laws of the State of New York.
2. PRICING; PAYMENT. (a) Unless otherwise provided elsewhere in the Purchase Agreement, prices are: (i) stated in U.S. dollars; (ii) not subject to increase for the duration of the Purchase Agreement; and (iii) DDP (INCOTERMS 2000) at a facility specified by Buyer. No extra charges of any kind will be allowed unless specifically agreed to by Buyer in writing. (b) Unless prohibited by law, Seller will separately indicate on its invoices any taxes imposed on the sale or delivery of products or services. (c) Unless otherwise provided elsewhere in the Purchase Agreement, payment will be 3% 30 days, net 90 days from the later of (i) the date of Buyer’s receipt of an invoice; or (ii) receipt of product or services, as applicable. (d) Seller warrants that it is selling at the lowest prices and upon the most favorable terms (including, without limitation, volume, quality and/or payment terms) that it offers any buyer for goods or services of the same or similar quality to that provided for in the Purchase Agreement. If, during the term of the Purchase Agreement, Seller makes an offer to sell any such goods or services to a third party at a lower price or upon one or more terms that are more favorable than the price or terms then applicable under the Purchase Agreement, an equivalent reduction or modification of terms will apply to all products or services purchased thereafter for the balance of the term of the Purchase Agreement. (e) If at any time during the term of the Purchase Agreement: (i) a third party makes a competitive offer to sell products or services pursuant to one or more terms (including price, volume, quality and/or payment terms) that are more favorable to Buyer than the terms then in effect under the Purchase Agreement (the “Favorable Terms”), then Seller will meet, or notify Buyer that it will not meet, such Favorable Terms within fourteen (14) days of receipt of Buyer's notice thereof. Seller's failure to meet such Favorable Terms within such fourteen (14) day period shall be deemed a decision not to meet such Favorable Terms regardless of whether Seller specifically notifies Buyer thereof. (ii) Buyer anticipates that it may receive a competitive offer from a third party to sell products or services on Favorable Terms through an internet web based trading platform (an “On-Line Offer”), and Seller is provided with a written invitation to participate in the applicable on-line event that may result in an On-Line Offer at least seven (7) days prior thereto, then Seller will meet, or not meet, the Favorable Terms of the On-Line Offer during the on-line event. Seller's failure to meet such Favorable Terms during the on-line event shall be deemed a decision not to meet such Favorable Terms regardless of whether Seller specifically notifies Buyer thereof. If Buyer is obligated under the Purchase Agreement to buy certain quantities of products or services from Seller and Seller does not meet the Favorable Terms as provided in clauses (i) or (ii) above, Buyer will be released from its obligations with respect to any quantities of products or services available from the third party on such Favorable Terms. (f) Buyer will be responsible for all sales, use, and similar taxes (excluding taxes based on or measured by the net income, net worth or gross receipts of Seller) imposed as a result of the sale of products or services. With notice to Seller, Buyer may pay such taxes directly to the taxing authority where allowed by law. Seller shall remit all taxes paid by Buyer to the appropriate taxing authority. Upon Buyer's request, Seller will provide written evidence that Seller is properly licensed to collect the taxes paid by Buyer. (g) Notwithstanding Sections 2(b) and (c) above, if Buyer notifies Seller, or the Purchase Agreement provides, that purchases of products or services are processed through Buyer's evaluated receipts settlement program or another similar program, the following provisions will apply: (i) Unless otherwise provided elsewhere in the Purchase Agreement or specifically requested by Buyer, Seller will not send an invoice to Buyer with respect to products or services delivered to Buyer and payment will be 2.5% 15 days, net 90 days from the date of Buyer’s receipt of acceptable product or services, as applicable. (ii) If not a direct payment transaction, Buyer shall calculate and pay to Seller all applicable taxes attributable to any taxable products and services. (h) If the Purchase Agreement obligates Buyer to buy a percentage of its product requirements from Seller, reasonable amounts of product purchased from a third party supplier for purposes of qualifying such products shall be deemed excluded from Buyer's requirements and can be used by Buyer for commercial production and sale.
3. TRANSPORTATION; DELIVERY. (a) Delivery dates are firm and TIME IS OF THE ESSENCE WITH RESPECT TO DELIVERY. Seller will promptly notify Buyer in writing if Seller anticipates difficulty in complying with a required delivery date and will use all commercially reasonable efforts to meet the required delivery date. Buyer has no obligation to accept deliveries that are not made on the required delivery date. If Seller fails to meet a required delivery date, Buyer may procure replacement products or services. Seller will be responsible for all costs incurred by Buyer as a result of early or late deliveries. If Seller has to use premium freight, Seller will notify Buyer in writing of the type and monetary value of the premium freight used (for Buyer’s records). (b) Unless otherwise provided elsewhere in the Purchase Agreement, delivery will occur, and title and risk of loss will transfer, when: (i) with respect to product not incorporated into services, product passes into Buyer's storage facility; and (ii) with respect to product incorporated into services, the completed services have been accepted by Buyer.
4. INSPECTION. Buyer may inspect and test all products and services and all materials, equipment and facilities utilized by Seller in producing products or providing services for Buyer. Seller will maintain an inspection and testing system for the same that is acceptable to Buyer and will keep records of all inspection and testing data and, with respect to products, samples of each lot shipped, for two (2) years after delivery. Unless otherwise agreed by Buyer in writing, Seller will deliver to Buyer a certificate of analysis as to specifications approved by Buyer with respect to each product lot shipped.
5. WARRANTIES. (a) Seller warrants that all products and services will be: (i) free of any claims by third parties; (ii) in strict accordance with the specifications, samples, drawings or other descriptions approved by Buyer; (iii) free from defects; and (iv) to the extent that Buyer relies on Seller to specify the products or services, fit for their intended purpose. Seller further warrants that all services will be performed in accordance with the standards of care and diligence normally practiced by persons performing similar services and in the best workmanlike manner. The above warranties will be in effect for a period of eighteen (18) months from the date of receipt by Buyer or twelve (12) months from the date of final acceptance by Buyer, whichever is earlier. If any products or services fail to conform to the above warranties Seller, at Buyer's option, will: (i) with respect to products, replace or repair the nonconforming products; (ii) with respect to services, re-perform all services necessary to correct any such nonconformity; or (iii) refund the purchase price of the nonconforming products or services and any related costs incurred by Buyer. Any replacement products or services also will be subject to the above warranties and warranty period. The warranty period for repaired products will be extended to account for the time lapsed until the repair was completed. If Seller does not replace, repair or re-perform, as applicable, within a reasonable time after notice, Buyer may do so at Seller’s expense. (b) Any rights or remedies of Buyer set forth in the Purchase Agreement are not exclusive and Buyer also has all rights and remedies available under applicable law.
6. QUANTITY TERMINATION; ORDER CHANGES. (a) Buyer may, by written notice to Seller, terminate its purchase of any quantity of products or services (i) for convenience, (ii) if Seller fails to complete or deliver any part thereof when required, and (iii) if Seller is in breach of any material term of the Purchase Agreement, including, without limitation, any provision of Sections 7, 8 or 9 below, immediately prior to the delivery thereof. If terminating for convenience, Buyer will pay Seller termination charges equal to the cost of materials and labor incurred (and not otherwise mitigated) on ordered products or services prior to the date of Buyer's termination notice; provided Seller takes all steps reasonably necessary to mitigate such costs. Seller will notify Buyer of the actual termination charges within thirty (30) days after termination. If termination is due to a failure of completion or delivery or breach of any material term of the Purchase Agreement, no termination charges will apply and Buyer may procure substitute products or services and Seller will be liable to Buyer for any excess costs incurred by Buyer. (b) Prior to shipment or completion, Buyer may request changes with respect to the products or services to be provided, including, changes in method of shipping or packing, time or place of delivery and increases in delivered quantity. Seller will promptly notify Buyer of any resulting increase or decrease in cost and Buyer and Seller will agree on any price adjustment before implementing any change.
7. COMPLIANCE WITH LAWS.(a) Seller represents, warrants, certifies and covenants that: (i) Seller will comply with all applicable laws, rules, regulations and orders in performing its obligations under the Purchase Agreement, including environmental, health and safety laws and regulations, immigration laws and those dealing with equal employment opportunity; (ii) Seller will take appropriate actions to provide a safe and healthy workplace, and to protect local environmental quality in all of its activities; (iii) each chemical substance constituting or contained in products transferred under the Purchase Agreement is on the list of chemical substances compiled and published by the Administrator of the Environmental Protection Administration pursuant to the Toxic Substances Control Act (15 USC Section 2601 et seq.) as amended and the European Inventory of Existing Commercial Chemical Substances (EINECS) or the European List of Notified Chemical Substances (ELINCS) or equivalent lists in any other jurisdiction which the products will likely be shipped to; (iv) that each chemical substance constituting or contained in goods sold or otherwise transferred to Buyer is pre-registered if required, and registered if required, under Regulation (EC) No 1907/2006 (“REACH”), is not restricted under Annex XVII of REACH and if subject to authorization under REACH is authorized for Buyer’s use; (v) Seller shall notify Buyer if it decides not to Preregister or Register substances that will be subject to Preregistration or Registration under REACH and are constituting or contained in goods supplied to Buyer at least twelve (12) months before their Preregistration or Registration deadline. Seller will monitor the publication by the European Chemicals Agency of the list of substances meeting the criteria for Authorization under REACH (the “candidate list”) and immediately notify Buyer if any of the goods supplied to Buyer is manufactured by Seller with or contains a substance officially proposed for listing on the candidate list. Seller shall provide Buyer with the name of the substance as well as with sufficient information to allow Buyer to safely use the goods or fulfill its own obligations under REACH; (vi) no products transferred under the Purchase Agreement (1) have been or will be produced utilizing forced, indentured or convict labor or utilizing the labor of persons in violation of the laws governing minimum working age, minimum wage, hours of service, and overtime in the country of manufacture; or (2) contain arsenic, asbestos, benzene, polychlorinated biphenyls (PCBs), carbon tetrachloride, lead, cadmium, mercury, hexavalent chromium, polybrominated biphenyls (PBBs), polybrominated biphenyl ethers (PBDE), or any other hazardous substances the use of which is restricted under EU Directive 2002/95/EC (27 January 2003)(RoHS Directive)], or chemicals restricted under the Montreal Protocol on ozone-depleting substances or the law of the countries into which product is shipped, any substance listed on the candidate list of the REACH legislation (Regulation (EC) No 1907/2006) or restricted under Annex XVII of REACH unless expressly agreed otherwise by Buyer in writing; (vii) all products transferred under the Purchase Agreement are in compliance with the EU Directive 2002/96/EC on Waste Electrical and Electronic Equipment (WEEE Directive), as amended; (viii) with respect to any products transferred under the Purchase Agreement which are “electrical and electronic equipment’ covered by the WEEE Directive as amended, Seller agrees, at no additional costs to the Buyer to: (a) assume responsibility for taking back those products in the future upon the request of Buyer and treating or otherwise managing them in accordance with the requirements of the WEEE Directive and applicable national implementing legislation; and (b) take back as of the date of the Purchase Agreement the used products currently owned by Buyer up to the number of new units being purchased by Buyer, or arrange with a third-party to do so in accordance with all applicable requirements; (ix) all wood packaging material, including but not limited to, pallets, dunnage, crating, packing blocks, drums, cases, load boards, pallet collars, and skids are in compliance with the “Guidelines for Regulating Wood Packaging Materials in International Trade” (ISPM15) issued under the International Plant Protection Convention, the regulations of the U.S. Department of Agriculture's Animal Plant Health Inspection Service (APHIS), and any other applicable standards then in effect in the country where such material has been imported, or from which such material has been exported; (x) to the extent that any products transferred under the Purchase Agreement contain hazardous materials, Seller will provide all relevant information pursuant to Occupational Safety and Health Act (OSHA) regulations 29 CFR 1910,1200, as amended, if applicable, including a completed Material Safety Data Sheet (OSHA Form 20), REACH or EU Directive 67/548/EC, as amended, if applicable and any other applicable law, rule or regulation, and mandated labeling information, or any similar requirements in any other jurisdictions to which Buyer informs Seller the products are likely to be shipped; (xi) Seller will not pay, promise to pay or authorize the payment of any money or anything of value to any person or entity for the purpose of illegally or improperly inducing a decision or obtaining or retaining business or any advantage in connection with the Purchase Agreement; and (xii) Seller has established an effective program to ensure that any suppliers it utilizes to provide any goods or services that will be incorporated into products or services supplied under the Purchase Agreement will be in conformance with the requirements of 7(a) (i) to (x) above. (b) From time to time, at Buyer's request, Seller shall provide certificates to Buyer relating to compliance with any applicable legal requirements, including those listed in Section 7(a) above.
8. CONFIDENTIAL INFORMATION; OWNERSHIP OF DOCUMENTS AND MATERIALS.(a) Seller will treat as confidential and not disclose any information received from Buyer in connection with the Purchase Agreement to any person not authorized by Buyer in writing to receive it. Seller will use such information only as necessary to fulfill its obligations under the Purchase Agreement. Upon termination of the Purchase Agreement, all such information will be returned to Buyer, or at Buyer's option, destroyed by Seller. Seller will not make any announcement or release any information concerning the Purchase Agreement to any other person or entity, including the press or any official body, except as required by law, unless prior written consent is obtained from Buyer. (b) All drawings, models, specifications and other documents and materials prepared by Seller specifically in connection with the products or services supplied under the Purchase Agreement will become Buyer’s property and be delivered to Buyer, as part of the consideration of this Purchase Agreement, upon (i) completion, abandonment or postponement of the services or delivery of the products required by the Purchase Agreement or (ii) termination of the Purchase Agreement. Seller hereby assigns any and all rights that it has in and to all such documents and materials to Buyer.
9. INTELLECTUAL PROPERTY INFRINGEMENT. Seller represents and warrants that the sale or use of the products or services provided to Buyer will not infringe or contribute to the infringement of any patents, trademarks, or copyrights anywhere in the world. If any product, service, or part thereof is held to constitute an infringement, Seller will, at its expense, obtain for Buyer a license to use the item or service, or replace or modify the same, in a manner satisfactory to Buyer, so as to avoid the infringement. Seller shall not assert any of its patents or other intellectual property rights against Buyer or Buyer's affiliates or customers worldwide in connection with any use of products or services provided to Buyer in the production, use, preparation, sale, or delivery of, or other action with respect to, the products or services of Buyer or Buyer's affiliates or customers.
10. QUALITY. All goods ordered will be supplied in accordance with ISO9001:2015-AS9100:2016, AS9110:2016, AS9120:2016 requirements or equivalent depending on purchased item. (a) Seller will not change the manufacturing location, manufacturing process, raw materials or proportions of raw materials used in products delivered to Buyer under the Purchase Agreement unless Seller notifies Buyer in writing of the change at least ninety (90) days before its implementation and Buyer agrees to the change in writing. Seller will be liable for all losses and damages that Buyer may suffer if Seller does not comply with the requirements of the preceding sentence. At Buyer's request, Seller will provide samples of product produced with the proposed change to test in Buyer's manufacturing process. (b) Seller will participate in programs implemented by Buyer with respect to quality in manufacturing and delivery of products and services.
  If suspect/counterfeit material parts are furnished under this purchase order and are found in the goods delivered, these items will be impounded by Buyer. The Seller shall promptly replace the suspect/counterfeit parts with acceptable parts to the Buyer. Buyer shall not return suspect/counterfeit parts to the Seller and will notify any applicable Government agency to ensure the parts cannot be re-introduced into the supply chain.
  
  Buyer reserves the right to require and request evidence from Seller documenting that Seller's personnel are aware of: (a) their contribution to product or service conformity; and, (b) their contribution to product safety.
11. CUSTOMS AND TRADE. (a) Unless otherwise agreed by Buyer in writing, Buyer will not be a party to the importation of products. All purchases under the Purchase Agreement will be consummated subsequent to importation, prices will be inclusive of all duties and other costs of customs clearance and Seller will not cause or permit Buyer’s name to be shown as “importer of record” on any customs declaration. In any case where Buyer agrees to be the importer of record, Seller will provide all information needed to effect customs entry into each country into which the products are to be imported. (b). Buyer shall have all rights to drawback of duty or taxes paid by Seller in its own country or in any third country where all or part of the work is executed. Seller waives any interest in or rights to such drawback and agrees to provide, at no cost to Buyer, proof of importation and/or re-exportation as the case may be, satisfactory to Buyer and the customs administration, tax collection agency, or other government agency in any country where taxes or duties are paid, as well as to provide any other supporting documentation to enable Buyer to claim drawback of duties and taxes on products or articles manufactured from products provided under the Purchase Agreement. (c) Seller will accurately indicate the country of origin of the products provided under the Purchase Agreement on the customs invoice and other applicable documentation. Seller will provide certificates of origin relating to such products within the meaning of the rules of origin of the NAFTA preferential duty provisions and execute such other documents as may be necessary for Buyer to claim duty preference under any applicable programs.
12. SERVICES/LIENS; SITE RULES; INSURANCE.(a) Seller will obtain from all of its subcontractors waivers and releases of all liens which may be imposed by them against the products provided under the Purchase Agreement or Buyer's premises or the improvements thereon, and Seller will defend, indemnify, and hold harmless Buyer with respect thereto. (b) Seller will conform strictly to all of Buyer's site rules and regulations when performing services on Buyer's premises, including but not limited to Buyer’s requirements for background screening contingent workers. It is Seller's obligation to obtain a copy of Buyer's site rules. (c) Prior to performing any services on Buyer’s premises, Seller will obtain, and thereafter maintain at all times, the following minimum insurance coverage: (i) Worker’s compensation insurance as required under the applicable laws of the jurisdiction in which the services are to be performed; (ii) Employer’s Liability insurance as required under the applicable laws of the jurisdiction in which the services are to be performed, subject to a limit of $1,000,000; (iii) Commercial General Liability insurance with a combined single limit of $2,000,000 for bodily injury and property damages; (iv) Automobile Liability insurance for owned or hired vehicles covering bodily injury, death and property damage, with a combined single limit of $1,000,000 per occurrence and in the aggregate; and (v) Umbrella Liability with aggregate limits of $5,000,000. All required insurance must be with companies licensed in the jurisdiction in which the services are performed and acceptable to Buyer. No insurance will be deemed to be in effect until satisfactory certificates thereof are delivered to Buyer, containing provisions requiring the insurance carrier to notify Buyer at least thirty (30) days prior to any expiration or termination of, or material change to, the policy. In addition, all such policies shall be primary and non-contributory, name Buyer as an additional insured, specifically insure Buyer for its own negligence and other culpable conduct and contain a waiver of subrogation against Buyer. Seller will also require insurance from all of its subcontractors with the same coverage and limits. (d) It is agreed that Seller, in rendering any services on Buyer’s premises, will be an independent contractor and that neither Seller nor any principal, partner, agent or employee of Seller is the legal representative of Buyer for any purpose whatsoever and has no right or authority to assume or create, by action, in writing or otherwise, any obligation of any kind, express or implied, in the name of or on behalf of Buyer and neither Seller nor any principal, agent or employee of Seller shall be entitled to or be eligible to participate in any benefit program extended by Buyer to its employees. (e) All Seller’s employees providing services under the Purchase Agreement must be authorized to work in the jurisdiction where the services are performed.
13. INDEMNIFICATION. Seller will fully defend, indemnify, hold harmless and reimburse Buyer, its officers, directors, shareholders, employees, agents, customers and assigns from and against all claims, suits, actions, proceedings, damages, losses and expenses, including attorneys’ fees, arising out of, related to, or resulting from: (a) any breach of any representation, warranty, certification, covenant or agreement made by Seller in the Purchase Agreement; (b) any negligence or willful misconduct of Seller or its agents or subcontractors in connection with performance under the Purchase Agreement; (c) any litigation, proceeding or claim by any third party relating to the obligations of Seller under the Purchase Agreement; and (d) Seller’s use, control, ownership, or operation of its business and facilities, except to the extent caused by the negligence of Buyer. Seller agrees to include this clause in any subcontracts issued hereunder.
14. BUYER’S PROPERTY. Unless Buyer otherwise agrees in writing, all tools, equipment or other materials furnished to Seller by Buyer are the personal property of Buyer. Whenever practical, Seller will adequately identify Buyer's property and safely store it separate and apart from Seller’s property. Seller will not substitute any property for Buyer’s property and will use such property only in fulfilling its obligations under the Purchase Agreement. While in Seller’s custody or control, Buyer's property will be held at Seller’s risk, kept insured by Seller at Seller’s expense, and subject to removal at Buyer’s request.
15. SET-OFF. Buyer may set off any amount owing at any time from Seller to Buyer or any of its affiliated companies against any amount payable at any time by Buyer under the Purchase Agreement.
16. FORCE MAJEURE. (a) Any non-performance or delay in performance of any obligation of Seller or Buyer under the Purchase Agreement will be excused to the extent such failure or non-performance is caused by "Force Majeure." "Force Majeure" means any cause preventing performance of an obligation under the Purchase Agreement which is beyond the reasonable control of the Seller or Buyer, and which, by the exercise of due diligence, could not be overcome, including without limitation, fire, flood, sabotage, shipwreck, embargo, explosion, strike or other labor trouble, accident, riot, acts of a governmental authority, and acts of God. In no event shall Seller's ability to sell products or services at a better price or Seller's economic hardship in buying raw materials necessary to manufacture products at a commercially reasonable price constitute Force Majeure. (b) If Buyer or Seller is affected by Force Majeure, it will (i) promptly provide notice to the other party, explaining the full particulars and the expected duration of the Force Majeure and (ii) use its best efforts to remedy the interruption or delay if it is reasonably capable of being remedied. In the event of Force Majeure, deliveries or acceptance of deliveries of products or services which have been suspended will not be required to be made up on the resumption of performance and, to the extent not otherwise permitted under the Purchase Agreement, Buyer will have the right to purchase products and services from other sources during the period of Force Majeure. If a Force Majeure extends for more than sixty (60) days, the Purchase Agreement may be terminated upon written notice by the party not declaring Force Majeure without any liability on its part. (c) If a Force Majeure compels Seller to allocate deliveries of products or services, Seller will make such allocation in a manner that ensures Buyer at least the same proportion of the Seller’s total output as was purchased by Buyer prior to the Force Majeure. Seller will use best efforts to source products or other items, at Seller’s expense, from its own or its affiliates' global operations or the market in order to meet Buyer’s required delivery dates.
17. TERMINATION. Buyer or Seller may terminate the Purchase Agreement upon thirty (30) days’ prior written notice if the other party breaches any material term thereof or files for bankruptcy; provided, however that during such notice period, the party in default may cure its default and thereby abate the termination. In the event Seller has not complied in any respect with Sections 7, 8 or 9 above, Buyer shall have the right to immediately terminate the Purchase Agreement, without further compensation to the Seller. In addition Seller shall compensate Buyer for any damages suffered by Buyer as a result of Seller’s breach of sections 7, 8 or 9 above. After receipt of a notice of termination, the Seller shall immediately: (i) stop work as directed in the notice; (ii) place no further subcontracts or purchase orders for materials, services or facilities, except as necessary to complete the continued portion of the Purchase Agreement; and (iii) terminate all subcontracts to the extent that they relate to the work terminated.
18. ACCESS AND AUDIT. In order to assess Seller’s work quality and compliance with the Purchase Agreement, Seller will permit Buyer reasonable access to (i) all locations where work is performed in connection with the products or services provided for in the Purchase Agreement, and (ii) Seller’s books and records relating to the Purchase Agreement.
19. PERSONAL DATA PROTECTION.(a) “Personal Data” includes any information relating to an identified or identifiable natural person; “Buyer Personal Data” includes any Personal Data obtained by Seller from Buyer, any Personal data being Processed by Seller on behalf of Buyer, and any Personal Data pertaining to any Buyer personnel; and “Processing” includes any operation or set of operations performed upon Personal Data, such as collection, recording, organization, storage, adaptation or alteration, retrieval, accessing, consultation, use, disclosure by transmission, dissemination or otherwise making available, alignment or combination, blocking, erasure or destruction. (b) Seller, including its staff, shall view and Process Buyer Personal Data only on a need-to-know basis and only to the extent necessary to perform this Purchase Agreement or Buyer’s further written instructions. (c) Seller agrees to keep Buyer Personal Data confidential and not to disclose Buyer Personal Data to third parties without prior express written consent from Buyer. Seller further agrees to use technical and organizational measures, commensurate with the risk associated with a breach of such Data and in compliance with applicable data protection regulation(s), to ensure the security and confidentiality of Buyer Personal Data in order to prevent, among other things, accidental, unauthorized or unlawful destruction, modification, disclosure, access or loss of such Data. Seller shall immediately inform Buyer of any Security Breach, where “Security Breach” is defined as any event involving an actual, potential or threatened compromise of the security, confidentiality or integrity of Buyer Personal Data, including but not limited to any unauthorized access or use, or any broader circumstances as defined in any applicable local law. Seller shall also provide Buyer with a detailed description of the Security Breach, the type of data that was the subject of the Security Breach, the identity of each affected person, and any other information Buyer may request concerning such affected persons and the details of the breach. Seller agrees to take action immediately, at its own expense, to investigate the Security Breach and to identify, prevent and mitigate the effects of any such Security Breach, and to carry out any recovery or other action (e.g., mailing statutory notices) necessary to remedy the Security Breach. The content of any filings, communications, notices, press releases, or reports related to any Security Breach (“Notices”) must first be approved by Buyer prior to any publication or communication thereof to any third party. Seller shall pay for or reimburse Buyer for all costs, losses and expenses relating to any Security Breach, including without limitation, the cost of Notices (d) Seller shall comply with all applicable laws and regulation pertaining to Personal Data protection and will process employment data consistent with Buyer’s employment data protection standards. In particular, where Personal Data is collected by the Seller from a data subject directly, Seller shall provide such data subject with the information required by applicable laws and regulation, permit access by the data subject to the Personal Data collected about him/her and, when necessary, obtain such data subject’s consent. (e) Buyer reserves the right to conduct an on-site verification, with prior written notice, of Seller’s compliance with obligations relating to Buyer Personal Data at any time, even after termination of this Agreement, and Seller agrees to provide access to all concerned facilities, equipment and records necessary to conduct such verification. (f) Upon termination of this Purchase Agreement, for whatever reason, Seller shall stop the Processing of Buyer Personal Data, unless instructed otherwise by Buyer, and these undertakings shall remain in force until such time as Seller no longer possesses Buyer Personal Data. (g) Seller understands and agrees that Buyer may require Seller to provide certain Personal Data (“Seller Personal Data”) such as the name, address, telephone number, and e-mail address of Seller’s representatives in transactions, and that Buyer and its affiliates and their contractors may store such data in databases located and accessible globally by their personnel and use it for purposes reasonably related to the performance of this Purchase Agreement, including but not limited to supplier and payment administration. Seller agrees that it will comply with all legal requirements associated with transferring any Seller Personal Data to Buyer. Buyer will be the “Controller” of this data for legal purposes, and agrees not to share Seller Personal Data beyond Buyer, its affiliates and their contractors, and to use reasonable technical and organizational measures to ensure that Seller Personal Data is processed in conformity with applicable data protection laws. Seller may obtain a copy of the Seller Personal Data and submit updates and corrections to it by sending Buyer a written notice.
20. SUPPLIER SECURITY AND CRISIS MANAGEMENT POLICY. Seller will have and comply with, and at Buyer’s request provide Buyer with a copy of, Seller’s security and crisis management that, at a minimum, provides for measures that ensure the physical integrity and security of all shipments against the unauthorized introduction of harmful or dangerous materials. Buyer reserves the right to request information in connection with such policy, conduct on-site audits of Seller’s facility and practices to determine whether such policy and Seller’s implementation of such policy are reasonably sufficient to protect Buyer’s interests. If Buyer reasonably determines that Seller’s security and crisis management policy and/or such policy implementation is/are insufficient to protect Buyer’s property and interests, Buyer may give Seller notice of such determination. Upon receiving such notice, Seller shall have forty-five (45) days thereafter to make such policy changes and take the implementation actions reasonably requested by Buyer. All costs associated with development and implementation of Seller’s security and crisis management plan and Buyer’s recommendations thereto shall be borne by Seller. In addition, Seller agrees that it will review the requirements of applicable national security programs, including but not limited to the Customs-Trade Partnership Against Terrorism (“C-TPAT”) program of the United States (if applicable) and will (i) maintain a written plan for security procedures in accordance with the recommendations of such programs; and (ii) inform Buyer of its membership status and any changes thereto, relative to such programs.
21. ETHICAL BEHAVIOR. Seller represents and warrants that it either : (i) will comply with the Polymershapes Code of Conduct (Available Here) or (ii) will comply with its own code, which is substantially similar to Polymershapes.
"Buyer" means Polymershapes Distribution Canada Inc. "Seller" means the party selling the applicable products or services to Buyer. By selling products or services to Buyer, Seller confirms that the following terms and conditions apply to Buyer's purchases. Any modifications must be in writing and signed by Buyer. References to "products" include items specifically provided for in the Purchase Agreement (as defined below) or incorporated in services Buyer purchases from Seller.
1. TERMS AND CONDITIONS OF PURCHASE. (a) Any products or services Buyer purchases from Seller by electronic, phone, paper or any other form of transmission, are purchased subject to the following: (i) if Seller already has a fully signed purchase agreement currently in effect with Buyer, then the terms of that agreement, together with any terms and conditions of this purchase order and any subsequent purchase orders issued hereunder not in conflict with that agreement, constitute the complete agreement; and (ii) if Seller does not already have a fully signed purchase agreement with Buyer, then the terms and conditions of this purchase order and any subsequent purchase orders issued hereunder constitute the complete agreement. The complete agreement as stated hereinabove shall be referred to as the "Purchase Agreement". (b) Seller may not assign or subcontract its obligations under the Purchase Agreement without the prior written consent of Buyer, and if Seller does so, the assignment or subcontract will be void. (c) The Purchase Agreement shall be governed by, and interpreted under, the substantive laws of the Province of Ontario and the federal laws of Canada applicable therein. . The United Nations Convention on Contracts for the International Sale of Goods will not apply to any sale of products. (d) The parties hereby irrevocably submit and agree to attorn to the non-exclusive jurisdiction of the courts of Ontario.
2. PRICING; PAYMENT.(a) Unless otherwise provided elsewhere in the Purchase Agreement, prices are: (i) stated in Canadian dollars; (ii) not subject to increase for the duration of the Purchase Agreement; and (iii) DDP (INCOTERMS 2010) at a facility specified by Buyer. No extra charges of any kind will be allowed unless specifically agreed to by Buyer in writing. (b) Unless prohibited by law, Seller will separately indicate on its invoices any taxes imposed on the sale or delivery of products or services. (c) Unless otherwise provided elsewhere in the Purchase Agreement, payment will be net ninety (90) days from the later of (i) the date of Buyer’s receipt of an invoice; or (ii) receipt of product or services, as applicable. Buyer shall have the right to an early payment discount equal to 2.5% of the total purchase price if the purchase price is paid on or before fifteen (15) days from the later of (i) or (ii) above. (d) Seller warrants that it is selling at the lowest prices and upon the most favorable terms (including, without limitation, volume, quality and/or payment terms) that it offers any buyer of goods or services of the same or similar quality to that provided for in the Purchase Agreement. If, during the term of the Purchase Agreement, Seller makes an offer to sell any such goods or services to a third party at a lower price or upon one or more terms that are more favorable than the price or terms then applicable under the Purchase Agreement, an equivalent reduction or modification of terms will apply to all products or services purchased thereafter for the balance of the term of the Purchase Agreement. (e) If at any time during the term of the Purchase Agreement: (i) a third party makes a competitive offer to sell products or services pursuant to one or more terms (including price, volume, quality and/or payment terms) that are more favorable to Buyer than the terms then in effect under the Purchase Agreement (the “Favorable Terms”), then Seller will meet, or notify Buyer that it will not meet, such Favorable Terms within fourteen (14) days of receipt of Buyer's notice thereof. Seller's failure to meet such Favorable Terms within such fourteen (14) day period shall be deemed a decision not to meet such Favorable Terms regardless of whether Seller specifically notifies Buyer thereof. (ii) Buyer anticipates that it may receive a competitive offer from a third party to sell products or services on Favorable Terms through an internet web based trading platform (an “On-Line Offer”), and Seller is provided with a written invitation to participate in the applicable on-line event that may result in an On-Line Offer at least seven (7) days prior thereto, then Seller will meet, or not meet, the Favorable Terms of the On-Line Offer during the on-line event. Seller's failure to meet such Favorable Terms during the on-line event shall be deemed a decision not to meet such Favorable Terms regardless of whether Seller specifically notifies Buyer thereof. (f) If Buyer is obligated under the Purchase Agreement to buy certain quantities of products or services from Seller and Seller does not meet the Favorable Terms as provided in clauses (i) or (ii) above, Buyer will be released from its obligations with respect to any quantities of products or services available from the third party on such Favorable Terms. (g) Buyer will be responsible for all goods and services, harmonized sales, social service, sales, use, and similar taxes (excluding taxes based on or measured by the net income, net worth or gross receipts of Seller) imposed as a result of the sale of products or services. With notice to Seller, Buyer may pay such taxes directly to the taxing authority where allowed by law. Seller shall remit all taxes paid by Buyer to the appropriate taxing authority. Upon Buyer's request, Seller will provide written evidence that Seller is properly licensed to collect the taxes paid by Buyer. (h) Notwithstanding Sections 2(b) and (c) above, if Buyer notifies Seller, or the Purchase Agreement provides, that purchases of products or services are processed through Buyer's evaluated receipts settlement program or another similar program, the following provisions will apply: (i) Unless otherwise provided elsewhere in the Purchase Agreement or specifically requested by Buyer, Seller will not send an invoice to Buyer with respect to products or services delivered to Buyer and payment will be net ninety (90) days from the date of Buyer’s receipt of acceptable product or services, as applicable (or subject to an early payment discount equal to 2.5% of the total purchase price if the purchase price is paid on or before fifteen (15) days from the date of Buyer’s receipt thereof). (ii) If not a direct payment transaction, Buyer shall calculate and pay to Seller all applicable taxes attributable to any taxable products and services. (i) If the Purchase Agreement obligates Buyer to buy a percentage of its product requirements from Seller, reasonable amounts of product purchased from a third party supplier for purposes of qualifying such products shall be deemed excluded from Buyer's requirements and can be used by Buyer for commercial production and sale.
3. TRANSPORTATION; DELIVERY.(a) Delivery dates are firm and TIME IS OF THE ESSENCE WITH RESPECT TO DELIVERY. Seller will promptly notify Buyer in writing if Seller anticipates difficulty in complying with a required delivery date and will use all commercially reasonable efforts to meet the required delivery date. Buyer has no obligation to accept deliveries that are not made on the required delivery date. If Seller fails to meet a required delivery date, Buyer may procure replacement products or services. Seller will be responsible for all costs incurred by Buyer as a result of early or late deliveries. If Seller has to use premium freight, Seller will notify Buyer in writing of the type and monetary value of the premium freight used (for Buyer’s records). (b) Unless otherwise provided elsewhere in the Purchase Agreement, delivery will occur, and title and risk of loss will transfer, when: (i) with respect to product not incorporated into services, product passes into Buyer's storage facility; and (ii) with respect to product incorporated into services, the completed services have been accepted by Buyer.
4. INSPECTION.Buyer may inspect and test all products and services and all materials, equipment and facilities utilized by Seller in producing products or providing services for Buyer. Seller will maintain an inspection and testing system for the same that is acceptable to Buyer and will keep records of all inspection and testing data and, with respect to products, samples of each lot shipped, for two (2) years after delivery. Unless otherwise agreed by Buyer in writing, Seller will deliver to Buyer a certificate of analysis as to specifications approved by Buyer with respect to each product lot shipped.
5. WARRANTIES. (a) Seller warrants that all products and services will be: (i) free of any claims, liens and security interest of Buyer and third parties; (ii) in strict accordance with the specifications, samples, drawings or other descriptions approved by Buyer; (iii) free from defects; and (iv) to the extent that Buyer relies on Seller to specify the products or services, fit for their intended purpose. Seller further warrants that all services will be performed in accordance with the standards of care and diligence normally practiced by persons performing similar services and in the best workmanlike manner. The above warranties will be in effect for a period of eighteen (18) months from the date of receipt by Buyer or twelve (12) months from the date of final acceptance by Buyer, whichever is earlier. If any products or services fail to conform to the above warranties Seller, at Buyer's option, will: (i) with respect to products, replace or repair the nonconforming products; (ii) with respect to services, re-perform all services necessary to correct any such nonconformity; or (iii) refund the purchase price of the nonconforming products or services and any related costs incurred by Buyer. Any replacement products or services also will be subject to the above warranties and warranty period. The warranty period for repaired products will be extended to account for the time lapsed until the repair was completed. If Seller does not replace, repair or re-perform, as applicable, within a reasonable time after notice, Buyer may do so at Seller’s expense. (b) Any rights or remedies of Buyer set forth in the Purchase Agreement are not exclusive and Buyer also has all rights and remedies available under applicable law.
6. QUANTITY TERMINATION; ORDER CHANGES.(a) Buyer may, by written notice to Seller, terminate its purchase of any quantity of products or services (i) for convenience, (ii) if Seller fails to complete or deliver any part thereof when required, and (iii) if Seller is in breach of any material term of the Purchase Agreement, including, without limitation, any provision of Sections 7, 8 or 9 below, immediately prior to the delivery thereof. If terminating for convenience, Buyer will pay Seller termination charges equal to the cost of materials and labour incurred (and not otherwise mitigated) on ordered products or services prior to the date of Buyer's termination notice; provided Seller takes all steps reasonably necessary to mitigate such costs. Seller will notify Buyer of the actual termination charges within thirty (30) days after termination. If termination is due to a failure of completion or delivery or breach of any material term of the Purchase Agreement, no termination charges will apply and Buyer may procure substitute products or services and Seller will be liable to Buyer for any excess costs incurred by Buyer. (b) Prior to shipment or completion, Buyer may request changes with respect to the products or services to be provided, including, changes in method of shipping or packing, time or place of delivery and increases in delivered quantity. Seller will promptly notify Buyer of any resulting increase or decrease in cost, failing which no increase in price shall apply. Unless Buyer and Seller agree on any price increase before implementing any change, either party may terminate this Purchase Agreement on written notice to the other party.
7. COMPLIANCE WITH LAWS.(a) Seller represents, warrants, certifies and covenants that: (i) Seller will comply with all applicable laws, rules, regulations and orders in performing its obligations under the Purchase Agreement, including environmental, health and safety laws and regulations, immigration laws and those dealing with human rights; (ii) Seller will take appropriate actions to provide a safe and healthy workplace, and to protect local environmental quality in all of its activities; (iii) each chemical substance constituting or contained in products transferred under the Purchase Agreement is on the list of chemical substances compiled and published by the Administrator of the Environmental Protection Administration pursuant to the Toxic Substances Control Act (15 USC Section 2601 et seq.) as amended and the European Inventory of Existing Commercial Chemical Substances (EINECS) or the European List of Notified Chemical Substances (ELINCS) or equivalent lists in any other jurisdiction which the products will likely be shipped to; (iv) that each chemical substance constituting or contained in goods sold or otherwise transferred to Buyer is pre-registered if required, and registered if required, under Regulation (EC) No 1907/2006 (“),is not restricted under Annex XVII of REACH and if subject to authorization under REACH is authorized for Buyer’s use; (v) Seller shall notify Buyer if it decides not to Preregister or Register substances that will be subject to Preregistration or Registration under REACH and are constituting or contained in goods supplied to Buyer at least twelve (12) months before their Pregistration or Registration deadline. Seller will monitor the publication by the European Chemicals Agency of the list of substances meeting the criteria for Authorization under REACH (the “candidate list”) and immediately notify Buyer if any of the goods supplied to Buyer is manufactured by Seller with or contains a substance officially proposed for listing on the candidate list. Seller shall provide Buyer with the name of the substance as well as with sufficient information to allow Buyer to safely use the goods or fulfill its own obligations under REACH; (vi) no products transferred under the Purchase Agreement (1) have been or will be produced utilizing forced, indentured or convict labor or utilizing the labor of persons in violation of the laws governing minimum working age, minimum wage, hours of service, and overtime in the country of manufacture; or (2) contain arsenic, asbestos, benzene, polychlorinated biphenyls (PCBs), carbon tetrachloride, lead, cadmium, mercury, hexavalent chromium, polybrominated biphenyls (PBBs), polybrominated biphenyl ethers (PBDE), or any other hazardous substances the use of which is restricted under EU Directive 2002/95/EC (27 January 2003)(RoHS Directive)], or chemicals restricted under the Montreal Protocol on ozone-depleting substances or the law of the countries into which product is shipped, any substance listed on the candidate list of the REACH legislation (Regulation (EC) No 1907/2006) or restricted under Annex XVII of REACH unless expressly agreed otherwise by Buyer in writing; (vii) all products transferred under the Purchase Agreement are in compliance with the EU Directive 2002/96/EC on Waste Electrical and Electronic Equipment (WEEE Directive), as amended; (viii) with respect to any products transferred under the Purchase Agreement which are “electrical and electronic equipment’ covered by the WEEE Directive as amended, Seller agrees, at no additional costs to the Buyer to: (a) assume responsibility for taking back those products in the future upon the request of Buyer and treating or otherwise managing them in accordance with the requirements of the WEEE Directive and applicable national implementing legislation; and (b) take back as of the date of the Purchase Agreement the used products currently owned by Buyer up to the number of new units being purchased by Buyer, or arrange with a third-party to do so in accordance with all applicable requirements; (ix) all wood packaging material, including but not limited to, pallets, dunnage, crating, packing blocks, drums, cases, load boards, pallet collars, and skids are in compliance with the “Guidelines for Regulating Wood Packaging Materials in International Trade” (ISPM15) issued under the International Plant Protection Convention, the regulations of the U.S. Department of Agriculture's Animal Plant Health Inspection Service (APHIS), and any other applicable standards then in effect in the country where such material has been imported, or from which such material has been exported; (x) to the extent that any products transferred under the Purchase Agreement contain hazardous materials, Seller will provide all relevant information pursuant to Occupational Safety and Health Act (OSHA) regulations 29 CFR 1910,1200, as amended, if applicable, including a completed Material Safety Data Sheet (OSHA Form 20), REACH or EU Directive 67/548/EC, as amended, if applicable and any other applicable law, rule or regulation, and mandated labeling information, or any similar requirements in any other jurisdictions to which Buyer informs Seller the products are likely to be shipped; (xi) Seller will not pay, promise to pay or authorize the payment of any money or anything of value to any person or entity for the purpose of illegally or improperly inducing a decision or obtaining or retaining business or any advantage in connection with the Purchase Agreement; and (xii) Seller has established an effective program to ensure that any suppliers it utilizes to provide any goods or services that will be incorporated into products or services supplied under the Purchase Agreement will be in conformance with the requirements of 7(a) (i) to (x) above. (b) From time to time, at Buyer's request, Seller shall provide certificates to Buyer relating to compliance with any applicable legal requirements, including those listed in Section 7(a) above.
8. CONFIDENTIAL INFORMATION; OWNERSHIP OF DOCUMENTS AND MATERIALS.(a) Seller will treat as confidential and not disclose any information received from Buyer in connection with the Purchase Agreement to any person not authorized by Buyer in writing to receive it. Seller will use such information only as necessary to fulfill its obligations under the Purchase Agreement. Upon termination of the Purchase Agreement, all such information will be returned to Buyer, or at Buyer's option, destroyed by Seller. Seller will not make any announcement or release any information concerning the Purchase Agreement to any other person or entity, including the press or any official body, except as required by law, unless prior written consent is obtained from Buyer. (b) All drawings, models, specifications and other documents and materials prepared by Seller specifically in connection with the products or services supplied under the Purchase Agreement will become Buyer’s property and be delivered to Buyer, as part of the consideration of this Purchase Agreement, upon (i) completion, abandonment or postponement of the services or delivery of the products required by the Purchase Agreement or (ii) termination of the Purchase Agreement. Seller hereby assigns any and all rights that it has in and to all such documents and materials to Buyer.
9. INTELLECTUAL PROPERTY INFRINGEMENT.Seller represents and warrants that the sale or use of the products or services provided to Buyer will not infringe or contribute to the infringement of any patents, trademarks, or copyrights anywhere in the world. If any product, service, or part thereof is held to constitute an infringement, Seller will, at its expense, obtain for Buyer a license to use the item or service, or replace or modify the same, in a manner satisfactory to Buyer, so as to avoid the infringement. Seller shall not assert any of its patents or other intellectual property rights against Buyer or Buyer's affiliates or customers worldwide in connection with any use of products or services provided to Buyer in the production, use, preparation, sale, or delivery of, or other action with respect to, the products or services of Buyer or Buyer's affiliates or customers.
10. QUALITY. All goods ordered will be supplied in accordance with ISO9001:2015-AS9100:2016, AS9110:2016, AS9120:2016 requirements or equivalent depending on purchased item. (a) Seller will not change the manufacturing location, manufacturing process, raw materials or proportions of raw materials used in products delivered to Buyer under the Purchase Agreement unless Seller notifies Buyer in writing of the change at least ninety (90) days before its implementation and Buyer agrees to the change in writing. Seller will be liable for all losses and damages that Buyer may suffer if Seller does not comply with the requirements of the preceding sentence. At Buyer's request, Seller will provide samples of product produced with the proposed change to test in Buyer's manufacturing process. (b) Seller will participate in programs implemented by Buyer with respect to quality in manufacturing and delivery of products and services.
  If suspect/counterfeit material parts are furnished under this purchase order and are found in the goods delivered, these items will be impounded by Buyer. The Seller shall promptly replace the suspect/counterfeit parts with acceptable parts to the Buyer. Buyer shall not return suspect/counterfeit parts to the Seller and will notify any applicable Government agency to ensure the parts cannot be re-introduced into the supply chain.
  
  Buyer reserves the right to require and request evidence from Seller documenting that Seller's personnel are aware of: (a) their contribution to product or service conformity; and, (b) their contribution to product safety.
11. CUSTOMS AND TRADE.(a) Unless otherwise agreed by Buyer in writing, Buyer will not be a party to the importation of products. All purchases under the Purchase Agreement will be consummated subsequent to importation, prices will be inclusive of all duties and other costs of customs clearance and Seller will not cause or permit Buyer’s name to be shown as “importer of record” on any customs declaration. In any case where Buyer agrees to be the importer of record, Seller will provide all information needed to effect customs entry into each country into which the products are to be imported. (b). Buyer shall have all rights to drawback of duty or taxes paid by Seller in its own country or in any third country where all or part of the work is executed. Seller waives any interest in or rights to such drawback and agrees to provide, at no cost to Buyer, proof of importation and/or re-exportation as the case may be, satisfactory to Buyer and the customs administration, tax collection agency, or other government agency in any country where taxes or duties are paid, as well as to provide any other supporting documentation to enable Buyer to claim drawback of duties and taxes on products or articles manufactured from products provided under the Purchase Agreement. (c) Seller will accurately indicate the country of origin of the products provided under the Purchase Agreement on the customs invoice and other applicable documentation. Seller will provide certificates of origin relating to such products within the meaning of the rules of origin of the NAFTA preferential duty provisions and execute such other documents as may be necessary for Buyer to claim duty preference under any applicable programs.
12. SERVICES/LIENS; SITE RULES; INSURANCE.(a) Seller will obtain from all of its subcontractors waivers and releases of all liens which may be imposed by them against the products provided under the Purchase Agreement or Buyer's premises or the improvements thereon, and Seller will defend, indemnify, and hold harmless Buyer with respect thereto. (b) Seller will conform strictly to all of Buyer's site rules and regulations when performing services on Buyer's premises, including but not limited to Buyer’s requirements for background screening contingent workers. It is Seller's obligation to obtain a copy of Buyer's site rules. (c) Prior to performing any services on Buyer’s premises, Seller will obtain, and thereafter maintain at all times, the following minimum insurance coverage: (i) Worker’s compensationinsurance as required under the applicable laws of the jurisdiction in which the services are to be performed; (ii) Employer’s Liabilityinsurance as required under the applicable laws of the jurisdiction in which the services are to be performed, subject to a limit of $1,000,000; (iii) Commercial General Liabilityinsurance with a combined single limit of $2,000,000 for bodily injury and property damages; (iv) AutomobileLiabilityinsurance for owned or hired vehicles covering bodily injury, death and property damage, with a combined single limit of $1,000,000 per occurrence and in the aggregate; and (v) Umbrella Liability with aggregate limits of $5,000,000. All required insurance must be with companies licensed in the jurisdiction in which the services are performed and acceptable to Buyer. No insurance will be deemed to be in effect until satisfactory certificates thereof are delivered to Buyer, containing provisions requiring the insurance carrier to notify Buyer at least thirty (30) days prior to any expiration or termination of, or material change to, the policy. In addition, all such policies shall be primary and non-contributory, name Buyer as an additional insured, specifically insure Buyer for its own negligence and other culpable conduct and contain a waiver of subrogation against Buyer. Seller will also require insurance from all of its subcontractors with the same coverage and limits. (d) It is agreed that Seller, in rendering any services on Buyer’s premises, will be an independent contractor and that neither Seller nor any principal, partner, agent or employee of Seller is the legal representative of Buyer for any purpose whatsoever and has no right or authority to assume or create, by action, in writing or otherwise, any obligation of any kind, express or implied, in the name of or on behalf of Buyer and neither Seller nor any principal, agent or employee of Seller shall be entitled to or be eligible to participate in any benefit program extended by Buyer to its employees. (e) All Seller’s employees providing services under the Purchase Agreement must be authorized to work in the jurisdiction where the services are performed.
13. INDEMNIFICATION.Seller will fully defend, indemnify, hold harmless and reimburse Buyer, its officers, directors, shareholders, employees, agents, customers and assigns from and against all claims, suits, actions, proceedings, damages, losses and expenses, including legal fees (on a substantial indemnity basis), arising out of, related to, or resulting from: (a) any breach of any representation, warranty, certification, covenant or agreement made by Seller in the Purchase Agreement; (b) any negligence or willful misconduct of Seller or its agents or subcontractors in connection with performance under the Purchase Agreement; (c) any litigation, proceeding or claim by any third party relating to the obligations of Seller under the Purchase Agreement; and (d) Seller’s use, control, ownership, or operation of its business and facilities, except to the extent caused by the negligence of Buyer. Seller agrees to include this clause in any subcontracts issued hereunder.
14. BUYER’S PROPERTY.Unless Buyer otherwise agrees in writing, all tools, equipment or other materials furnished to Seller by Buyer are the personal property of Buyer. Whenever practical, Seller will adequately identify Buyer's property and safely store it separate and apart from Seller’s property. Seller will not substitute any property for Buyer’s property and will use such property only in fulfilling its obligations under the Purchase Agreement. While in Seller’s custody or control, Buyer's property will be held at Seller’s risk, kept insured by Seller at Seller’s expense, and subject to removal at Buyer’s request.
15. SET-OFF. Buyer may set off any amount owing at any time from Seller to Buyer or any of its affiliated companies against any amount payable at any time by Buyer under the Purchase Agreement.
16. FORCE MAJEURE.(a) Any non-performance or delay in performance of any obligation of Seller or Buyer under the Purchase Agreement will be excused to the extent such failure or non-performance is caused by "Force Majeure." "Force Majeure" means any cause preventing performance of an obligation under the Purchase Agreement which is beyond the reasonable control of the Seller or Buyer, and which, by the exercise of due diligence, could not be overcome, including without limitation, fire, flood, sabotage, shipwreck, embargo, explosion, strike or other labour trouble, accident, riot, acts of a governmental authority, and acts of God. In no event shall Seller's ability to sell products or services at a better price or Seller's economic hardship in buying raw materials necessary to manufacture products at a commercially reasonable price constitute Force Majeure. (b) If Buyer or Seller is affected by Force Majeure, it will (i) promptly provide notice to the other party, explaining the full particulars and the expected duration of the Force Majeure and (ii) use its best efforts to remedy the interruption or delay if it is reasonably capable of being remedied. In the event of Force Majeure, deliveries or acceptance of deliveries of products or services which have been suspended will not be required to be made up on the resumption of performance and, to the extent not otherwise permitted under the Purchase Agreement, Buyer will have the right to purchase products and services from other sources during the period of Force Majeure. If a Force Majeure extends for more than sixty (60) days, the Purchase Agreement may be terminated upon written notice by the party not declaring Force Majeure without any liability on its part. (c) If a Force Majeure compels Seller to allocate deliveries of products or services, Seller will make such allocation in a manner that ensures Buyer at least the same proportion of the Seller’s total output as was purchased by Buyer prior to the Force Majeure. Seller will use best efforts to source products or other items, at Seller’s expense, from its own or its affiliates' global operations or the market in order to meet Buyer’s required delivery dates.
17. TERMINATION. Buyer or Seller may terminate the Purchase Agreement upon thirty (30) days’ prior written notice if the other party breaches any material term thereof or makes an assignment into bankruptcy; provided, however that during such notice period, the party in default may cure its default and thereby abate the termination. In the event Seller has not complied in any respect with Sections 7, 8 or 9 above, Buyer shall have the right to immediately terminate the Purchase Agreement, without further compensation to the Seller. In addition Seller shall compensate Buyer for any damages suffered by Buyer as a result of Seller’s breach of sections 7, 8 or 9 above. After receipt of a notice of termination, the Seller shall immediately: (i) stop work as directed in the notice; (ii) place no further subcontracts or purchase orders for materials, services or facilities, except as necessary to complete the continued portion of the Purchase Agreement; and (iii) terminate all subcontracts to the extent that they relate to the work terminated.
18. ACCESS AND AUDIT.In order to assess Seller’s work quality and compliance with the Purchase Agreement, Seller will permit Buyer reasonable access to (i) all locations where work is performed in connection with the products or services provided for in the Purchase Agreement, and (ii) Seller’s books and records relating to the Purchase Agreement.
19. PERSONAL DATA PROTECTION.(a) “Personal Data” includes any information relating to an identified or identifiable natural person;“Buyer Personal Data” includes any Personal Data obtained by Seller from Buyer, any Personal Data being Processed by Seller on behalf of Buyer, and any Personal Data pertaining to any Buyer personnel;and “Processing” includes any operation or set of operations performed upon Personal Data, such as collection, recording, organization, storage, adaptation or alteration, retrieval, accessing, consultation, use, disclosure by transmission, dissemination or otherwise making available, alignment or combination, blocking, erasure or destruction. (b) Seller, including its staff, shall view and Process Buyer Personal Data only on a need-to-know basis and only to the extent necessary to perform this Purchase Agreement or Buyer’s further written instructions. (c) Seller agrees to keep Buyer Personal Data confidential and not to disclose Buyer Personal Data to third parties without prior express written consent from Buyer. Seller further agrees to use technical and organizational measures, commensurate with the risk associated with a breach of such Personal Data and in compliance with applicable data protection regulation(s), to ensure the security and confidentiality of Buyer Personal Data in order to prevent, among other things, accidental, unauthorized or unlawful destruction, modification, disclosure, access or loss of such Personal Data. Seller shall immediately inform Buyer of any Security Breach, where “Security Breach” is defined as any event involving an actual, potential or threatened compromise of the security, confidentiality or integrity of Buyer Personal Data, including but not limited to any unauthorized access or use, or any broader circumstances as defined in any applicable local law. Seller shall also provide Buyer with a detailed description of the Security Breach, the type of data that was the subject of the Security Breach, the identity of each affected person, and any other information Buyer may request concerning such affected persons and the details of the breach. Seller agrees to take action immediately, at its own expense, to investigate the Security Breach and to identify, prevent and mitigate the effects of any such Security Breach, and to carry out any recovery or other action (e.g., mailing statutory notices) necessary to remedy the Security Breach. The content of any filings, communications, notices, press releases, or reports related to any Security Breach (“Notices”) must first be approved by Buyer prior to any publication or communication thereof to any third party. Seller shall pay for or reimburse Buyer for all costs, losses and expenses relating to any Security Breach, including without limitation, the cost of Notices (d) Seller shall comply with all applicable laws and regulation pertaining to Personal Data protection and will process employment data consistent with Buyer’s employment data protection standards. In particular, where Personal Data is collected by the Seller from a data subject directly, Seller shall provide such data subject with the information required by applicable laws and regulations, permit access by the data subject to the Personal Data collected about him/her and, when necessary, obtain such data subject’s consent. (e) Buyer reserves the right to conduct an on-site verification, with prior written notice, of Seller’s compliance with obligations relating to Buyer Personal Data at any time, even after termination of this Agreement, and Seller agrees to provide access to all concerned facilities, equipment and records necessary to conduct such verification. (f) Upon termination of this Purchase Agreement, for whatever reason, Seller shall stop the processing of Buyer Personal Data, unless instructed otherwise by Buyer, and these undertakings shall remain in force until such time as Seller no longer possesses Buyer Personal Data. (g) Seller understands and agrees that Buyer may require Seller to provide certain Personal Data (“Seller Personal Data”) such as the name, address, telephone number, and e-mail address of Seller’s representatives in transactions, and that Buyer and its affiliates and their contractors may store such data in databases located and accessible globally by their personnel and use it for purposes reasonably related to the performance of this Purchase Agreement, including but not limited to supplier and payment administration. Seller agrees that it will comply with all legal requirements associated with transferring any Seller Personal Data to Buyer. Buyer will be the “Controller” of this data for legal purposes, and agrees not to share Seller Personal Data beyond Buyer, its affiliates and their contractors, and to use reasonable technical and organizational measures to ensure that Seller Personal Data is processed in conformity with applicable data protection laws. Seller may obtain a copy of the Seller Personal Data and submit updates and corrections to it by sending Buyer a written notice.
20. SUPPLIER SECURITY AND CRISIS MANAGEMENT POLICY. Seller will have and comply with, and at Buyer’s request provide Buyer with a copy of, Seller’s security and crisis management that, at a minimum, provides for measures that ensure the physical integrity and security of all shipments against the unauthorized introduction of harmful or dangerous materials. Buyer reserves the right to request information in connection with such policy, conduct on-site audits of Seller’s facility and practices to determine whether such policy and Seller’s implementation of such policy are reasonably sufficient to protect Buyer’s interests. If Buyer reasonably determines that Seller’s security and crisis management policy and/or such policy implementation is/are insufficient to protect Buyer’s property and interests, Buyer may give Seller notice of such determination. Upon receiving such notice, Seller shall have forty-five (45) days thereafter to make such policy changes and take the implementation actions reasonably requested by Buyer. All costs associated with development and implementation of Seller’s security and crisis management plan and Buyer’s recommendations thereto shall be borne by Seller. In addition, Seller agrees that it will review the requirements of applicable national security programs, including but not limited to the Customs-Trade Partnership Against Terrorism (“C TPAT”) program of the United States (if applicable) and will (i) maintain a written plan for security procedures in accordance with the recommendations of such programs; and (ii) inform Buyer of its membership status and any changes thereto, relative to such programs.
21. ETHICAL BEHAVIOR. Seller represents and warrants that it either : (i) will comply with the Polymershapes Code of Ethics (Available Here) or (ii) will comply with its own code, which is substantially similar to Polymershapes’.
22. CHOICE OF LANGUAGE. The parties hereby acknowledge that they have required the Purchase Agreement and all other agreements and notices required or permitted to be entered into or given pursuant hereto to be drawn in the English language. 23. COUNTERPARTS. The Purchase Agreement and any amendment of the Purchase Agreement in whole or in part may be signed and delivered in any number of counterparts, each of which when signed and delivered is an original but all of which taken together constitute one and the same instrument. The Purchase Agreement and any amendment of the Purchase Agreement in whole or in part may be delivered by fax or by sending a computer-scanned copy electronically.
L’« Acheteur » s’entend de Polymershapes Distribution Canada Inc. « Vendeur » s’entend de la partie qui vend les produits ou les services concernés à l’Acheteur. En vendant des produits ou des services à l’Acheteur, le Vendeur confirme que les modalités suivantes s’appliquent aux achats de l’Acheteur. Toute modification doit être consignée par écrit et signée par l’Acheteur. Les mentions de « produits » comprennent les articles expressément visés par le Contrat d’achat (défini ci-après) ou intégrés aux services que l’Acheteur achète auprès du Vendeur.
1. MODALITÉS D’ACHAT. a) Tous les produits ou services que l’Acheteur achète auprès du Vendeur par voie électronique ou téléphonique, sur support papier ou selon un autre mode de transmission, sont achetés sous réserve des conditions suivantes : (i) si le Vendeur possède déjà un contrat d’achat intégralement signé et qui est présentement en vigueur avec l’Acheteur, les modalités de ce contrat, ainsi que les modalités du présent bon de commande et de tous bons de commande délivrés ultérieurement qui n’entrent pas en conflit avec ce contrat, constituent l’intégralité de l’entente entre les parties; et (ii) si le Vendeur ne possède pas déjà un contrat d’achat intégralement signé avec l’Acheteur, les modalités du présent bon de commande et de tous bons de commande ultérieurs délivrés aux termes des présentes constituent l’intégralité de l’entente entre les parties. L’entente intégrale dont il est question auparavant est désignée le « Contrat d’achat ». b) Le Vendeur ne peut faire la cession ou l’impartition des obligations qui lui incombent en vertu du Contrat d’achat sans le consentement écrit préalable de l’Acheteur et, si le Vendeur devait le faire, la cession ou le contrat confié en sous-traitance serait nul et non avenu. c) Le Contrat d’achat est régi et interprété selon les lois qui s’appliquent sur le fond dans la province d’Ontario et les lois fédérales du Canada qui s’y appliquent. La Convention des Nations Unies sur les contrats de vente internationale de marchandises ne s’applique pas à la vente des produits. d) Les parties s’en remettent par les présentes irrévocablement à la compétence non exclusive des tribunaux de l’Ontario.
2. PRIX; PAIEMENT. a) Sauf indication contraire dans le Contrat d’achat, les prix : (i) sont libellés en dollars canadiens; (ii) ne sont pas sujets à modification pendant la durée du Contrat d’achat; et (iii) sont « rendu droits acquittés » (INCOTERMS 2010) à une installation précisée par l’Acheteur. Aucuns frais supplémentaires de quelque nature que ce soit ne sont autorisés sauf si l’Acheteur en convient expressément par écrit. b) Sauf si la loi l’interdit, le Vendeur doit indiquer distinctement sur ses factures les taxes imposées à la vente ou à la livraison des produits ou services. c) Sauf indication contraire dans le Contrat d’achat, le paiement se fait net quatre-vingt-dix (90) jours à compter de la plus tardive des dates suivantes : (i) la date de la réception par l’Acheteur d’une facture; ou (ii) la réception du produit ou des services, selon le cas. L’Acheteur a droit à un escompte pour paiement anticipé correspondant à 2,5 % du prix d’achat global si le prix d’achat est payé au plus tard quinze (15) jours à compter de la plus tardive des dates mentionnées aux points (i) ou (ii) précités. d) Le Vendeur garantit qu’il vend au prix le plus faible et selon les modalités les plus favorables (y compris, sans s’y limiter, des modalités quant au volume, à la qualité et/ou au paiement) selon ce qu’il offre à tout acheteur de marchandises ou de services de la même qualité ou d’une qualité assimilable à celle prévue dans le Contrat d’achat. Si, pendant la durée du Contrat d’achat, le Vendeur fait une offre de vente de ces marchandises ou services à un tiers moyennant un prix inférieur ou moyennant une ou plusieurs modalités qui sont davantage favorables que le prix ou les modalités alors applicables en vertu du Contrat d’achat, une réduction ou modification correspondante des modalités s’applique à l’ensemble des produits ou services achetés par la suite pendant le reste de la durée du Contrat d’achat. e) Si, à un moment donné pendant la durée du Contrat d’achat : (i) un tiers fait une offre concurrentielle visant à vendre des produits ou services aux termes d’une ou plusieurs modalités (y compris des modalités quant au prix, au volume, à la qualité et/ou au paiement) qui sont davantage favorables à l’Acheteur que les modalités alors en vigueur en vertu du Contrat d’achat (les « modalités favorables »), le Vendeur doit respecter ces modalités favorables dans les quatorze (14) jours suivant la réception par l’Acheteur de l’avis en ce sens, ou aviser l’Acheteur qu’il ne respectera pas ces modalités favorables. L’omission de la part du Vendeur de respecter ces modalités favorables dans ce délai de quatorze (14) jours est réputée une décision de ne pas respecter ces modalités favorables, peu importe si le Vendeur avise expressément l’Acheteur en ce sens; (ii) l’Acheteur prévoit qu’il pourrait recevoir une offre concurrentielle de la part d’un tiers visant à vendre des produits ou services selon des modalités favorables par l’intermédiaire d’une plate-forme de négociation par Internet (une « offre en ligne »), et si le Vendeur reçoit au moins sept (7) jours auparavant une invitation écrite de participer à l’événement en ligne concerné qui pourrait entraîner la présentation d’une offre en ligne, le Vendeur doit respecter, ou ne pas respecter, les modalités favorables de l’offre en ligne pendant l’événement en ligne. L’omission de la part du Vendeur de respecter ces modalités favorables pendant l’événement en ligne est réputée une décision de ne pas respecter ces modalités favorables, peu importe si le Vendeur en avise expressément l’Acheteur. f) Si l’Acheteur est tenu en vertu du Contrat d’achat de faire l’acquisition de certaines quantités de produits ou de services auprès du Vendeur et que le Vendeur ne respecte pas les modalités favorables ainsi qu’il est prévu aux clauses (i) ou (ii) qui précèdent, l’Acheteur est relevé de ses obligations concernant toute quantité de produits ou de services qui peuvent être obtenus auprès du tiers selon de telles modalités favorables. g) L’Acheteur est responsable de l’ensemble de la taxe sur les produits et services, de la taxe de vente harmonisée, de la taxe sur les services sociaux, de la taxe de vente, de la taxe d’utilisation et de taxes semblables (à l’exclusion de taxes et impôts fondés sur le revenu net, la valeur nette ou les rentrées brutes du Vendeur ou qui sont mesurées en fonction de ces éléments), lesquelles sont imposées en conséquence de la vente de produits ou de services. En donnant un avis au Vendeur, l’Acheteur peut verser ces taxes et impôts directement à l’instance fiscale, lorsque la loi l’autorise. Le Vendeur doit remettre toutes les taxes et tous les impôts versés par l’Acheteur à l’instance fiscale compétente. À la demande de l’Acheteur, le Vendeur doit fournir une preuve écrite qu’il est titulaire en bonne et due forme des permis nécessaires afin de percevoir les taxes et impôts versés par l’Acheteur. h) Malgré les alinéas 2b) et c) qui précèdent, si l’Acheteur avise le Vendeur, ou si le Contrat d’achat prévoit, que les achats de produits ou de services sont traités par l’intermédiaire du programme de facturation automatique des entrées de marchandises ou d’un autre programme semblable de l’Acheteur, les dispositions suivantes s’appliquent : nbsp;nbsp;(i) sauf indication contraire dans le Contrat d’achat ou selon la demande expresse de l’Acheteur, le Vendeur ne transmet pas de facture à l’Acheteur à l’égard des produits ou services livrés à l’Acheteur et le paiement se fait net quatre-vingt-dix (90) jours à compter de la date de la réception par l’Acheteur de produits ou de services acceptables, selon le cas (ou sous réserve d’un escompte pour paiement anticipé correspondant à 2,5 % du prix d’achat global, si celui-ci est payé au plus tard quinze (15) jours à compter de la date de la réception par l’Acheteur de ceux-ci); nbsp;nbsp;(ii) s’il ne s’agit pas d’une opération de paiement direct, l’Acheteur calcule et verse au Vendeur toutes les taxes applicables imputées à des produits et services imposables. i) Si le Contrat d’achat oblige l’Acheteur à acheter un pourcentage de ses besoins d’approvisionnement en produits auprès du Vendeur, des quantités raisonnables de produits achetés auprès d’un fournisseur tiers afin de rendre ces produits admissibles sont réputées exclues des besoins de l’Acheteur et ce dernier peut s’en servir à des fins de production et de vente commerciales.
3. TRANSPORT; LIVRAISON. a) Les dates de livraison sont fermes et LES DÉLAIS SONT DE RIGUEUR EN CE QUI CONCERNE LA LIVRAISON. Le Vendeur doit aviser sans délai l’Acheteur par écrit s’il prévoit avoir des difficultés à respecter une date de livraison requise et il doit déployer tous les efforts raisonnables sur le plan commercial afin de respecter la date de livraison requise. L’Acheteur n’a aucune obligation d’accepter des livraisons qui ne sont pas effectuées à la date de livraison requise. Si le Vendeur omet de respecter une date de livraison requise, l’Acheteur peut se procurer des produits ou services de remplacement. Le Vendeur est responsable de l’ensemble des frais engagés par l’Acheteur en conséquence de livraisons anticipées ou tardives. Si le Vendeur est obligé d’avoir recours à des services de transport à prix majorés, il doit aviser l’Acheteur par écrit du type et de la valeur monétaire des services de transport à prix majorés utilisés (aux fins des registres de l’Acheteur). b) Sauf indication contraire dans le Contrat d’achat, la livraison a lieu, et le titre de propriété et le risque de perte sont transférés, au moment suivant : (i) en ce qui concerne un produit qui n’est pas intégré aux services, lorsque le produit est introduit dans l’installation d’entreposage de l’Acheteur; et (ii) en ce qui concerne un produit intégré aux services, lorsque les services exécutés ont été acceptés par l’Acheteur.
4. INSPECTION. L’Acheteur peut faire l’inspection et l’essai de l’ensemble des produits et services et de toutes les matières, du matériel, de l’équipement et des installations qu’utilise le Vendeur dans le cadre de la production des produits ou de la prestation des services pour l’Acheteur. Le Vendeur doit tenir un système d’inspection et d’essai à cet égard que l’Acheteur juge acceptable et conserver, pendant une période de deux (2) ans après la livraison, des registres de l’ensemble des données en matière d’inspection et d’essais et, en ce qui concerne les produits, des échantillons de chaque lot expédié. Sauf si l’Acheteur convient du contraire par écrit, le Vendeur doit remettre à l’Acheteur un certificat d’analyse quant aux caractéristiques techniques approuvées par l’Acheteur à l’égard de chaque lot de produits expédié.
5. GARANTIES. a) Le Vendeur garantit que tous les produits et services seront : i) exempts de réclamations, privilèges, hypothèques légales et sûretés de l’Acheteur et de tiers; ii) conformes aux caractéristiques techniques, échantillons, dessins ou autres descriptions approuvés par l’Acheteur; iii) exempts de défectuosités et iv) adaptés aux fins prévues, dans la mesure où l’Acheteur compte sur le Vendeur pour indiquer les produits ou services requis. Le Vendeur garantit également que tous les services seront fournis selon des normes de prudence et de diligence dont font habituellement preuve les personnes qui exécutent des services semblables, et ce, dans les règles de l’art. Les garanties mentionnées ci-dessus seront valables pendant une période de dix-huit (18) mois suivant la date de réception par l’Acheteur ou de douze (12) mois suivant la date de réception définitive de l’Acheteur, selon la date la plus rapprochée. Si tout produit ou service n’est pas conforme aux garanties ci-dessus, le Vendeur doit, au gré de l’Acheteur : i) relativement aux produits, remplacer ou réparer les produits non conformes; ii) relativement aux services, rendre à nouveau tous les services nécessaires pour corriger une telle non-conformité ou iii) rembourser le prix d’achat des produits ou services non conformes et tous les frais connexes engagés par l’Acheteur. Tout produit ou service de remplacement fait également l’objet des garanties et de la période garantie énoncées ci-dessus. La période de garantie pour les produits réparés est prolongée pour prendre en compte le temps écoulé avant que la réparation ne soit terminée. Si le Vendeur ne procède pas au remplacement ou à la réparation du produit, ou à la prestation nouveau du service, selon le cas, dans un délai raisonnable après un avis en ce sens, l’Acheteur peut le faire aux frais du Vendeur. b) Aucun droit ni recours de l’Acheteur qui est précisé dans le Contrat d’Achat n’est exclusif et l’Acheteur peut également faire valoir les droits et recours à sa disposition aux termes de la législation applicable.
6. ANNULATION DE QUANTITÉS; MODIFICATIONS DE COMMANDES. a) L’Acheteur peut, en donnant un avis écrit au Vendeur, mettre fin à son achat de toute quantité de produits ou de services (i) à des fins de commodité, (ii) si le Vendeur omet de finaliser ou de livrer toute partie prévue aux présentes au moment requis, et (iii) si le Vendeur a manqué à une modalité importante du Contrat d’achat, y compris, sans s’y limiter, toute stipulation énoncée aux articles 7, 8 ou 9 ci-après, immédiatement avant la livraison de ces produits ou services. Si l’Acheteur procède à une annulation à des fins de commodité, il doit verser au Vendeur des frais de résiliation correspondant au coût des matériaux et de la main-d’œuvre qui ont été engagés (et dont le montant n’a pas par ailleurs été atténué) à l’égard de produits ou de services commandés avant la date de l’avis d’annulation transmis par l’Acheteur; il est prévu que le Vendeur doit prendre toutes les démarches raisonnablement nécessaires afin d’atténuer le montant de ces frais. Le Vendeur doit aviser l’Acheteur des frais d’annulation réellement engagés dans les trente (30) jours après l’annulation. Si l’annulation est causée par le manque de respect ou la violation d’une modalité importante ou par l’omission de livraison, aux termes du Contrat d’achat, aucuns frais d’annulation ne s’appliquent et l’Acheteur peut se procurer des produits ou des services de remplacement, le Vendeur étant responsable envers l’Acheteur des frais supplémentaires qu’engage l’Acheteur. b) Avant l’expédition ou la finalisation, l’Acheteur peut demander que des modifications soient apportées aux produits ou services à fournir, y compris des modifications quant au mode d’expédition ou au conditionnement, quant au moment ou au lieu de livraison ainsi que des modifications quant à la quantité livrée. Le Vendeur doit aviser l’Acheteur sans délai de toute augmentation ou diminution consécutive des frais, à défaut de quoi aucune augmentation du prix ne s’applique. Sauf si l’Acheteur et le Vendeur conviennent d’une augmentation de prix avant la mise en œuvre d’une modification, l’une ou l’autre des parties peuvent mettre fin au présent Contrat d’achat moyennant un avis écrit transmis à l’autre partie.
7. RESPECT DES LOIS. a) Le Vendeur déclare, garantit et atteste ce qui suit et s’y engage : (i) le Vendeur respecte l’ensemble des lois, des règles, des règlements et des ordonnances applicables dans le cadre de l’exécution des obligations qui lui incombent en vertu du Contrat d’achat, y compris la législation et la réglementation en matière d’environnement, de santé et de sécurité, les lois en matière d’immigration et celles se rapportant aux droits de la personne; (ii) le Vendeur doit prendre les mesures qui s’imposent afin de fournir un milieu de travail sain et sécuritaire et afin de protéger la qualité de l’environnement local dans le cadre de l’exercice de l’ensemble de ses activités; (iii) chaque substance chimique composant les produits, ou contenue dans les produits, transférés en vertu du Contrat d’achat figure sur la liste des substances chimiques compilée et publiée par l’administrateur de l’Administration de la protection de l’environnement (Administrator of the Environmental Protection Administration) en vertu de la loi intitulée Toxic Substances Control Act (15 USC Section 2601 et seq.) en sa version modifiée et sur la liste désignée European Inventory of Existing Commercial Chemical Substances (EINECS) ou sur la liste appelée European List of Notified Chemical Substances (ELINCS) ou sur des listes correspondantes dans un autre ressort où les produits seront vraisemblablement expédiés; (iv) que chaque substance chimique composant les biens vendus ou par ailleurs transférés à l’Acheteur, ou qui y est contenue, a été enregistrée au préalable, au besoin, et enregistrée, le cas échéant, en vertu du Règlement (CE) no 1907/2006 (« REACH »), ne fait pas l’objet de restrictions en vertu de l’Annexe XVII du Règlement REACH et, si elle est assujettie à une autorisation en vertu du Règlement REACH, elle a été autorisée en vue d’une utilisation par l’Acheteur; (v) le Vendeur doit aviser l’Acheteur s’il décide de ne pas enregistrer au préalable ou enregistrer des substances qui sont assujetties aux obligations d’enregistrement ou d’enregistrement préalable en vertu du Règlement REACH et qui composent les biens fournis à l’Acheteur, ou y sont contenues, au moins douze (12) mois avant l’échéance de leur enregistrement ou enregistrement préalable. Le Vendeur doit surveiller la publication par l’Agence européenne des produits chimiques de la liste des substances qui respectent les critères en vue de l’autorisation en vertu du Règlement REACH (la « liste des candidats ») et immédiatement aviser l’Acheteur si l’un des biens qui lui ont été fournis a été fabriqué par le Vendeur en utilisant une substance, ou qui contient une substance, qui est officiellement proposée en vue d’une inscription sur la liste des candidats. Le Vendeur doit fournir à l’Acheteur le nom de la substance ainsi que suffisamment de renseignements afin de permettre à l’Acheteur d’utiliser les biens en toute sécurité ou de respecter les obligations qui lui incombent lui-même en vertu du Règlement REACH; (vi) aucun produit transféré en vertu du Contrat d’achat 1) n’a été ou ne sera produit en utilisant des personnes contraintes au travail, une main-d’œuvre engagée à long terme ou une main-d’œuvre pénale ou en ayant recours à la main-d’œuvre de personnes en violation des lois régissant l’âge minimal de travail, le salaire minimum, les heures de service et les heures supplémentaires dans le pays de fabrication; ou 2) ne renferme de l’arsenic, de l’amiante, du benzène, des biphényles polychlorés (BPC), du tétrachlorure de carbone, du plomb, du cadmium, du mercure, du chrome hexavalent, de polybromobiphényles (PBB), de l’éther biphénylique polybromé (EDP) ou toutes autres substances dangereuses dont l’utilisation est restreinte en vertu de la directive de l’EU 2002/95/CE (27 janvier 2003)(directive RoHS), ou des produits chimiques faisant l’objet de restrictions en vertu du protocole de Montréal relatif aux substances qui appauvrissent la couche d’ozone ou les lois des pays auxquels les produits sont expédiés, toute substance inscrite sur la liste des candidats du Règlement REACH (Règlement (EC) no 1907/2006) ou faisant l’objet de restrictions énoncées à l’Annexe XVII du Règlement REACH, sauf si l’Acheteur en a expressément convenu par ailleurs par écrit; (vii) tous les produits transférés en vertu du Contrat d’achat se conforment à la Directive de l’EU 2002/96/CE relative aux déchets d’équipements électriques et électroniques (Directive sur les DEEE), en sa version modifiée; (viii) en ce qui concerne les produits transférés en vertu du Contrat d’achat qui sont des « équipements électriques et électroniques » visés par la Directive sur les DEEE, en sa version modifiée, le Vendeur convient, sans que des frais supplémentaires ne soient imputés à l’Acheteur, de faire ce qui suit : a) prendre en charge la responsabilité de la reprise de ces produits à l’avenir à la demande de l’Acheteur ou de les traiter ou par ailleurs de les gérer conformément aux exigences de la Directive sur les DEEE et des lois nationales de mise en œuvre applicables; et b) reprendre, en date du Contrat d’achat, les produits d’occasion dont l’Acheteur est présentement propriétaire à concurrence du nombre de nouvelles unités achetées par l’Acheteur, ou de prendre des dispositions avec un tiers pour ce faire conformément à l’ensemble des exigences applicables; (ix) tout le matériel de conditionnement en bois (notamment, sans s’y limiter, les palettes, le bois de calage, le bois de caisse, les blocs de remplissage, les cylindres ou fûts, les caisses, les plate-formes de chargement, les rehausses pour palette, et les patins de glissement sont conformes à la « Réglementation des matériaux d’emballage en bois utilisés dans le commerce international » (NIMP no 15) publiée en vertu de la Convention internationale pour la protection des végétaux, aux règlements pris par le Animal Plant Health Inspection Service (APHIS) du ministère de l’Agriculture des États-Unis et à toutes autres normes applicables qui sont alors en vigueur dans le pays où ces matériaux ont été importés ou duquel ces matériaux ont été exportés; (x) dans la mesure où des produits transférés en vertu du Contrat d’achat contiennent des matières dangereuses, le Vendeur doit fournir tous les renseignements pertinents en vertu des Règlements intitulés Occupational Safety and Health Act (OSHA) Regulations 29 CFR 1910 1200, en leur version modifiée, le cas échéant, y compris un formulaire rempli appelé Material Safety Data Sheet (OSHA Form 20), en vertu du Règlement REACH ou de la Directive de l’EU 67/548/CE, en sa version modifiée, au besoin, et en vertu de toute autre loi, règle ou réglementation applicable, ainsi que les renseignements obligatoires en matière d’étiquetage ou toutes autres exigences semblables dans tous autres ressorts vers lesquels les produits sont susceptibles d’être expédiés, selon les renseignements que l’Acheteur fournit au Vendeur; (xi) le Vendeur ne doit pas payer ou promettre de payer de l’argent ou une chose de valeur, ou en autoriser le paiement, à une personne ou entité afin d’inciter illégalement ou illégitimement la prise d’une décision ou d’obtenir ou de conserver une affaire ou un avantage en rapport avec le Contrat d’achat; et (xii) le Vendeur a mis sur pied un programme efficace afin de s’assurer que les fournisseurs auxquels il a recours afin de fournir des biens ou des services qui seront intégrés dans des produits ou des services fournis en vertu du Contrat d’achat seront conformes aux exigences prévues aux sous-alinéas 7a)(i) à (x) qui précèdent. b) À l’occasion, à la demande de l’Acheteur, le Vendeur doit fournir des attestations à l’Acheteur se rapportant au respect de toute exigence juridique applicable, y compris celles qui sont énumérées à l’alinéa 7a) qui précède.
8. RENSEIGNEMENTS CONFIDENTIELS; PROPRIÉTÉ DES DOCUMENTS, DE LA DOCUMENTATION ET DES MATÉRIAUX. a) Le Vendeur doit préserver la confidentialité des renseignements reçus de l’Acheteur relativement au Contrat d’achat et ne saurait les communiquer à quiconque n’a pas été autorisé par écrit par le Vendeur à les recevoir. Le Vendeur n’utilise ces renseignements que dans la mesure nécessaire afin de s’acquitter de ses obligations aux termes du Contrat d’achat. À la résiliation ou à la fin du Contrat d’achat, tous ces renseignements doivent être restitués à l’Acheteur ou, au gré de l’Acheteur, détruits par le Vendeur. Le Vendeur ne saurait annoncer ni communiquer à toute personne ou entité, y compris la presse ou tout organisme officiel, des renseignements relatifs au Contrat d’achat, sauf dans la mesure requise par la loi, à moins d’avoir obtenu le consentement écrit préalable de l’Acheteur. b) Tous les dessins, modèles, caractéristiques techniques et autres documents et matériaux préparés par le Vendeur relativement aux produits ou services fournis aux termes du Contrat d’achat deviennent la propriété de l’Acheteur et lui sont livrés, à titre de contrepartie partielle du présent Contrat d’achat, dès i) l’exécution, l’abandon ou le report des services ou la livraison des produits prévus par le Contrat d’achat ou ii) la résiliation ou la fin du Contrat d’achat. Par les présentes, le Vendeur cède à l’Acheteur tous ses droits sur ces documents, cette documentation et ces matériaux.
9. CONTREFAÇON DES DROITS DE PROPRIÉTÉ INTELLECTUELLE. Le Vendeur déclare et garantit que la vente ou l’utilisation des produits ou services fournis à l’Acheteur ne porte pas atteinte aux brevets, marques de commerce ou droits d’auteur partout dans le monde et ne contribue pas à leur contrefaçon ou violation. Si un produit ou service ou une partie de ces derniers est jugé constituer une contrefaçon, le Vendeur doit obtenir, à ses frais, pour l’Acheteur une licence d’utilisation de l’article ou du service, ou doit le remplacer ou le modifier, d’une façon qui convient à l’Acheteur afin d’éviter la contrefaçon ou la violation. Le Vendeur ne saurait faire valoir ses brevets ou ses droits de propriété intellectuelle contre l’Acheteur, un membre du même groupe que celui-ci ou ses clients partout dans le monde relativement à l’utilisation de produits et services fournis à l’Acheteur dans la production, l’utilisation, la préparation, la vente ou la livraison de produits ou services de l’Acheteur, des membres du même groupe que celui-ci ou de ses clients, ou dans le cadre de toute autre mesure prise relativement à ceux-ci.
10. QUALITÉ. a) Le Vendeur ne saurait modifier l’emplacement de la fabrication ou les processus ou procédés de fabrication des produits livrés à l’Acheteur aux termes du Contrat d’achat, ou les matières premières ou les proportions des matières premières utilisées dans ces produits, à moins que le Vendeur n’avise l’Acheteur par écrit de la modification au moins quatre-vingt-dix (90) jours avant sa mise en œuvre et que l’Acheteur n’accepte la modification par écrit. Le Vendeur est tenu responsable pour tous les dommages-intérêts et pertes que peut subir l’Acheteur si le Vendeur omet de se conformer aux exigences de la phrase qui précède. À la demande de l’Acheteur, le Vendeur fournit des échantillons du produit fabriqué d’après la modification proposée afin de le mettre à l’essai dans le processus ou procédé de fabrication. b) Le Vendeur participe aux programmes mis sur pied par l’Acheteur à l’égard de la qualité de la fabrication, la livraison des produits et la prestation des services.
  Si des pièces suspectes ou contrefaites sont fournies en vertu de ce bon d’achat et se retrouvent dans les marchandises livrées, ces items seront mis de côté par l’acheteur. Le vendeur remplacera rapidement toutes les pièces suspectes/contrefaites par des pièces acceptables pour l’acheteur. L’acheteur ne retournera pas les pièces suspectes/contrefaites au vendeur et avisera tout organisme gouvernemental applicable de s’assurer que les pièces ne peuvent pas être réintroduites dans la chaîne d’approvisionnement.
  
  L’acheteur se réserve le droit d’exiger et de demander au vendeur des preuves indiquant que le personnel du vendeur est au courant : a) de leur implication quant à la conformité du produit ou du service; et b) de leur implication quant à la sécurité des produits.
11. DOUANES ET COMMERCE. a) Sauf si l’Acheteur en convient par écrit, il ne doit pas être partie à l’importation de produits. Tous les achats en vertu du Contrat d’achat doivent être finalisés après importation, et les prix comprennent l’ensemble des droits de douane et autres frais de dédouanement. Le Vendeur ne saurait faire en sorte, ni autoriser, que le nom de l’Acheteur figure comme « importateur officiel » sur une déclaration de douane. Dans une situation où l’Acheteur convient d’être l’importateur officiel, le Vendeur doit fournir tous les renseignements nécessaires afin de faire la déclaration en douane dans chaque pays où les produits doivent être importés. b) L’Acheteur possède tous les droits de remboursement des droits de douane ou des taxes payés par le Vendeur dans son propre pays ou dans un pays tiers où la totalité ou une partie des travaux doit être exécutée. Le Vendeur renonce à tout intérêt ou à tout droit à un tel remboursement et convient de fournir, sans que des frais soient imputés à l’Acheteur, une preuve d’importation et/ou de réexportation, selon le cas, que jugent satisfaisante l’Acheteur, l’administration des douanes, l’agence de perception des taxes et impôts ou tout autre organisme gouvernemental dans un pays où des taxes ou droits de douane sont acquittés, et de fournir toute autre documentation à l’appui afin de permettre à l’Acheteur de réclamer le remboursement des droits de douane et des taxes sur les produits ou articles fabriqués à partir de produits fournis en vertu du Contrat d’achat. c) Le Vendeur doit indiquer correctement le pays d’origine des produits fournis en vertu du Contrat d’achat sur la facture de douane ou toute autre documentation applicable. Le Vendeur doit fournir des certificats d’origine se rapportant à ces produits au sens des règles d’origine contenues dans les dispositions de l’ALÉNA sur les taux préférentiels des droits de douane et signer les autres documents qui peuvent se révéler nécessaires pour que l’Acheteur puisse réclamer l’application du taux préférentiel des droits de douane en vertu de tout programme applicable.
12. SERVICES/PRIVILÈGES; RÈGLES RÉGISSANT LES SERVICES FOURNIS SUR PLACE; ASSURANCE. a) Le Vendeur doit obtenir auprès de l’ensemble de ses sous-traitants des renonciations et quittances à l’égard de l’ensemble des privilèges ou hypothèques légales qu’ils peuvent imposer aux produits fournis en vertu du Contrat d’achat ou à l’égard des locaux de l’Acheteur ou des améliorations qui s’y trouvent, et le Vendeur doit défendre, indemniser et prémunir l’Acheteur à cet égard. b) Le Vendeur doit respecter rigoureusement l’ensemble des règles et règlements régissant les locaux de l’Acheteur lorsqu’il exécute des services dans les locaux de l’Acheteur, y compris, sans s’y limiter, les exigences de l’Acheteur en matière de vérification des antécédents de travailleurs occasionnels. Il incombe au Vendeur d’obtenir copie des règles régissant les locaux de l’Acheteur. c) Avant d’exécuter des services dans les locaux de l’Acheteur, le Vendeur doit souscrire, et par après conserver en tout temps, les garanties d’assurance minimales suivantes : (i) une assurance indemnisation des accidentés du travailselon ce qui est exigé en vertu des lois applicables du ressort dans lequel les services doivent être exécutés; (ii) une assurance responsabilité de l’employeurselon ce qui est exigé en vertu des lois applicables du ressort dans lequel les services doivent être exécutés, sous réserve d’un plafond de 1 000 000 $; (iii) une assurance responsabilité civile généraleassortie d’un montant tous dommages confondus de 2 000 000 $ à l’égard des lésions corporelles et des dommages matériels; (iv) une assurance responsabilité automobileà l’égard des véhicules appartenant au Vendeur ou loués par celui-ci et qui protège contre les lésions corporelles, le décès et les dommages matériels, le tout assorti d’un montant tous dommages confondus de 1 000 000 $ par événement et globalement; et (v) une assurance responsabilité civile complémentaireassortie de plafonds globaux de 5 000 000 $. Toutes les polices d’assurance requises doivent être souscrites auprès de sociétés titulaires des permis requis dans le ressort où les services doivent être exécutés et l’Acheteur doit juger ces sociétés acceptables. Aucune assurance n’est réputée en vigueur à moins que des certificats satisfaisants en faisant état n’aient été remis à l’Acheteur, lesquelles polices doivent renfermer des dispositions exigeant que l’assureur avise l’Acheteur au moins trente (30) jours avant l’expiration ou la résiliation de la police ou avant que toute modification importante y soit apportée. En outre, toutes ces polices doivent constituer des polices de première ligne et être non contributoires, elles doivent désigner l’Acheteur comme assuré additionnel, elles doivent expressément assurer l’Acheteur contre ses propres actes de négligence et tout autre comportement fautif et renfermer une renonciation à la subrogation contre l’Acheteur. Le Vendeur doit également exiger que l’ensemble de ses sous-traitants se procurent de l’assurance assortie des mêmes garanties et plafonds. d) il est entendu que le Vendeur, lorsqu’il assure la prestation de services dans les locaux de l’Acheteur, constitue un entrepreneur indépendant et que ni le Vendeur ni un commettant, un associé, un mandataire ou un employé du Vendeur n’est le représentant légal de l’Acheteur à quelque fin que ce soit et n’a aucun droit ni pouvoir de prendre en charge ou de créer, par ses gestes, par écrit ou par ailleurs, une obligation quelconque, expresse ou implicite, au nom ou pour le compte de l’Acheteur et ni le Vendeur, ni aucun commettant, mandataire ou employé du Vendeur n’a le droit de participer, ni n’est admissible à participer, à un programme d’avantages que l’Acheteur offre à ses salariés. e) Tous les employés du Vendeur qui assurent des services en vertu du Contrat d’achat doivent être autorisés à travailler dans le ressort où les services sont exécutés.
13. INDEMNISATION. Le Vendeur doit défendre, indemniser, tenir indemne et rembourser intégralement l’Acheteur, ses dirigeants, administrateurs, actionnaires, employés, mandataires, clients et ayants droit ou ayants cause contre toute réclamation, poursuite, action, instance, procédure, perte et dépense, ou tous dommages-intérêts, y compris les frais, dépens et honoraires juridiques (selon un barème d’indemnisation substantielle), découlant de ce qui suit ou s’y rapportant : a) un manquement à une déclaration, une garantie, une attestation, un engagement ou un contrat de la part du Vendeur aux termes du Contrat d’achat; b) toute négligence ou inconduite volontaire du Vendeur ou ses mandataires ou sous-traitants relativement à l’exécution du Contrat d’achat; c) tout litige, ou toute instance, procédure ou réclamation d’un tiers relatif aux obligations du Vendeur aux termes du Contrat d’achat et d) l’utilisation, le contrôle, le droit de propriété, ou l’exploitation des entreprises et des installations du Vendeur, sauf dans la mesure où il y a négligence de la part de l’Acheteur. Le Vendeur accepte d’inclure la présente clause dans tout sous-contrat conclus aux termes des présentes.
14. BIENS DE L’ACHETEUR. Sauf si l’Acheteur convient du contraire, tout le matériel, tous les outils, équipements ou autres matériaux que lui fournit le Vendeur constituent des biens personnels ou meubles de l’Acheteur. Dans la mesure du possible, le Vendeur doit convenablement indiquer quels sont les biens de l’Acheteur et les entreposer en toute sécurité, et ce, distinctement des biens du Vendeur. Le Vendeur ne saurait substituer d’autres biens à ceux de l’Acheteur et il doit s’en servir uniquement pour s’acquitter de ses obligations aux termes du Contrat d’achat. Lorsque le Vendeur a la garde ou le contrôle des biens de l’Acheteur, ces biens sont détenus aux risques et périls du Vendeur, qui doit les assurer à ses frais, et ils sont susceptibles de reprise par l’Acheteur moyennant une demande en ce sens.
15. COMPENSATION L’Acheteur peut compenser toute somme que lui doit à tout moment le Vendeur ou l’une des sociétés membres de son groupe en l’imputant contre un montant payable à tout moment par l’Acheteur aux termes du Contrat d’achat.
16. FORCE MAJEURE. a) Toute inexécution ou tout retard dans l’exécution d’une obligation du Vendeur ou de l’Acheteur aux termes du Contrat d’achat est pardonné dans la mesure où un tel défaut ou une telle inexécution relève d’un cas de force majeure. La « force majeure » s’entend de toute cause empêchant l’exécution d’une obligation aux termes du Contrat d’achat, qui est indépendante de la volonté raisonnable du Vendeur ou de l’Acheteur et qui, même si les parties ont fait preuve de diligence raisonnable, n’aurait pu être évitée, notamment un incendie, une inondation, un sabotage, un naufrage, un embargo, une explosion, une grève ou autre conflit de travail, un accident, une émeute, un acte des autorités gouvernementales et les catastrophes naturelles. En aucun cas la capacité du Vendeur de vendre des produits et services à un meilleur prix ou ses difficultés économiques à acheter des matières premières nécessaires pour fabriquer les produits à un prix commercialement raisonnable ne sauraient constituer un cas de force majeure. b) Si l’Acheteur ou le Vendeur est touché par un cas de force majeure, i) il fournit sans délai un avis à l’autre partie, indiquant les détails et la durée prévue du cas de force majeure et ii) il fait de son mieux pour remédier à l’interruption ou au retard s’il est possible d’y remédier raisonnablement. Dans un cas de force majeure, les livraisons ou l’acceptation des livraisons des produits et services qui ont été suspendues ne doivent pas être rattrapées lors de la reprise de l’exécution des obligations. Dans la mesure où cela n’est pas par ailleurs permis aux termes du Contrat d’achat, l’Acheteur a le droit d’acheter des produits et services auprès d’autres sources tant que dure le cas de force majeure. Si un cas de force majeure dure plus de soixante (60) jours, la partie lésée peut résilier le Contrat d’achat sans engager sa responsabilité sur remise d’un avis écrit. c) Si le cas de force majeure oblige le Vendeur à répartir les livraisons de produits et services, le Vendeur doit s’y prendre de façon à assurer à l’Acheteur la même quote-part de la production globale du Vendeur que celle qu’a achetée l’Acheteur avant le cas de force majeure. Le Vendeur fait de son mieux pour s’approvisionner en produits et autres articles, à ses frais, à même ses propres activités mondiales ou celles des membres de son groupe ou auprès du marché en vue de respecter les dates de livraison exigées par l’Acheteur.
17. RÉSILIATION. Le Vendeur ou l’Acheteur peut résilier le Contrat d’achat sur remise d’un préavis écrit d’au moins trente (30) jours si l’autre partie porte atteinte à toute modalité importante de ce contrat ou fait une cession de ses biens dans le cadre d’une faillite; toutefois, il est prévu que, pendant la durée d’une telle période de préavis, la partie en défaut peut remédier à son manquement et ainsi annuler la résiliation. Dans le cas où le Vendeur ne s’est pas conformé aux articles 7, 8 ou 9 ci-dessus, l’Acheteur dispose du droit de résilier immédiatement le Contrat d’achat, sans verser d’indemnité au Vendeur. De plus, le Vendeur doit indemniser l’Acheteur pour tous dommages-intérêts qu’il a subis à la suite du manquement du Vendeur relativement aux articles 7, 8 ou 9 ci-dessus. Suivant la réception de l’avis de résiliation, le Vendeur doit immédiatement : i) cesser les travaux ainsi qu’il est indiqué dans l’avis; ii) cesser de passer des sous-contrats ou des bons de commande visant des matériaux, services ou installations, sauf si cela est nécessaire pour exécuter la partie du Contrat d’achat qui se poursuit, et iii) résilier tous les sous-contrats dans la mesure où ils se rapportent aux travaux arrêtés.
18. ACCÈS ET VÉRIFICATION. Afin d’évaluer la qualité et la conformité des travaux du Vendeur aux termes du Contrat d’achat, le Vendeur donne un accès raisonnable à l’Acheteur i) à tous les emplacements où les travaux sont exécutés relativement aux produits et services fournis aux termes du Contrat d’achat et ii) aux livres, registres, dossiers et fichiers se rapportant au Contrat d’achat.
19. PROTECTION DES DONNÉES PERSONNELLES. a) L’expression« données personnelles » comprend tout renseignement concernant une personne physique identifiée ou identifiable. L’expression « données personnelles de l’Acheteur » comprend toutes les données personnelles que le Vendeur obtient de l’Acheteur, toutes les données personnelles qui sont traitées par le Vendeur pour le compte de l’Acheteur et toutes les données personnelles relativement à tout membre du personnel de l’Acheteur. Le terme « traitement » comprend toute activité ou tout ensemble d’activités effectuées sur les données personnelles, comme la collecte, l’enregistrement, l’organisation, le stockage, l’adaptation ou la modification, l’extraction, l’accès, la consultation, l’utilisation, la communication par transmission, diffusion ou une autre mise en disponibilité, l’alignement ou la combinaison, le blocage, la suppression ou la destruction. b) le Vendeur, y compris les employés, consultent et traitent les données personnelles de l’Acheteur uniquement s’ils ont besoin de les connaître et uniquement dans la mesure nécessaire pour exécuter le présent Contrat d’achat ou pour donner suite aux directives écrites supplémentaires de l’Acheteur. c) le Vendeur convient de préserver la confidentialité des données personnelles de l’Acheteur et de ne pas les communiquer à un tiers sans le consentement écrit préalable exprès de l’Acheteur. Le Vendeur convient également d’avoir recours à des mesures techniques et structurelles, d’une ampleur correspondant au risque lié à une atteinte à de telles données personnelles et en conformité avec la réglementation sur la protection des données applicable, pour assurer la sécurité et la confidentialité des données personnelles de l’Acheteur afin de prévenir notamment, la destruction, la modification, la communication, la consultation ou la perte accidentelles, non autorisées ou illicites de telles données personnelles. Le Vendeur doit immédiatement informer l’Acheteur de toute atteinte aux renseignements personnels; l’expression « atteinte aux renseignements personnels » s’entend de toutes les instances réelles, éventuelles ou imminentes pouvant compromettre la sécurité, la confidentialité ou l’intégrité des données personnelles de l’Acheteur, notamment un accès ou une utilisation non autorisés, ou toute autre situation plus générale précisée dans la législation locale. Le Vendeur doit également fournir à l’Acheteur une description détaillée de l’atteinte aux renseignements personnels, le type de données qui a fait l’objet de l’atteinte, l’identité de chaque personne touchée et tout autre renseignement que l’Acheteur peut demander relativement aux personnes touchées et les détails de l’atteinte. Le Vendeur convient de prendre des mesures immédiatement, à ses frais, pour enquêter sur l’atteinte aux renseignements personnels et cerner, prévenir et réduire les incidences d’une telle atteinte et pour poursuivre toute opération de récupération ou autre action (p. ex., l’envoi d’une notification prévue par la loi) nécessaire pour remédier à l’atteinte aux renseignements personnels. La teneur de tout document déposé, de toute communication, ou de tout avis, communiqué de presse ou rapport relatifs à l’atteinte aux renseignements personnels (les « Avis ») doit d’abord être approuvée par l’Acheteur avant la publication ou la communication de ces Avis à un tiers. Le Vendeur doit payer ou rembourser à l’Acheteur tous les coûts, pertes et dépenses relatifs à une atteinte aux renseignements personnels, notamment, le coût des Avis. d) le Vendeur doit se conformer à toute la législation et la réglementation applicable relative à la protection des données personnelles et traiter les données relatives à l’emploi dans le respect des normes de protection des données relatives à l’emploi de l’Acheteur. Lorsque le Vendeur recueille des données personnelles directement auprès de la personne concernée, il doit mettre à la disposition des personnes concernées les renseignements exigés aux termes de la législation et de la réglementation applicable, il doit autoriser la personne concernée à consulter les données personnelles recueillies à son sujet et, au besoin, il doit obtenir son consentement. e) l’Acheteur se réserve le droit de mener une vérification sur place, avec avis préalable écrit, de la conformité du Vendeur aux obligations relatives aux données personnelles de l’Acheteur à tout moment, et ce, même après la résiliation du présent Contrat. De plus, le Vendeur convient de donner accès à tout le matériel et à tous les équipements, à toutes les installations ainsi qu’à tous les registres, dossiers et fichiers nécessaires pour procéder à une telle vérification. f) Dans l’éventualité de la résiliation ou de la fin du présent Contrat d’achat, pour quelque motif que ce soit, le Vendeur doit cesser le traitement des données personnelles de l’Acheteur, sauf instructions contraires données par l’Acheteur, et ces engagements demeurent en vigueur jusqu’à ce que le Vendeur ne possède plus de données personnelles de l’Acheteur. g) le Vendeur comprend et accepte que l’Acheteur peut lui exiger de fournir certaines données personnelles (les « données personnelles du Vendeur ») comme le nom, l’adresse, le numéro de téléphone et l’adresse courriel des représentants du Vendeur agissant dans le cadre d’opérations données et que l’Acheteur, les membres du même groupe que celui-ci et leurs entrepreneurs peuvent stocker de telles données dans des bases de données situées, et accessibles par leurs membres du personnel, à l’échelle mondiale et les utiliser à des fins raisonnablement liées à l’exécution du Contrat d’achat, notamment aux fins de l’administration des fournisseurs et des paiements. Le Vendeur convient de se conformer à l’ensemble des exigences juridiques associées au transfert à l’Acheteur de toutes données personnelles du Vendeur. L’Acheteur est le « contrôleur » de ces données à des fins juridiques et il accepte de ne pas partager les données personnelles du Vendeur avec quiconque d’autre que le Vendeur, les membres du même groupe que celui-ci et leurs entrepreneurs. Il convient d’imposer des mesures techniques et structurelles raisonnables afin de veiller à ce que les données personnelles du Vendeur soient traitées en conformité avec les lois sur la protection des données applicables. Le Vendeur peut, en envoyant un avis écrit à l’Acheteur, obtenir une copie de ses données personnelles et demander qu’on y apporte des mises à jour et corrections.
20. POLITIQUE EN MATIÈRE DE SÉCURITÉ DES FOURNISSEURS ET DE GESTION DES CRISES. Le Vendeur doit se doter d’une politique en matière de sécurité et de gestion des crises, qu’il doit respecter, et dont il doit fournir une copie à la demande de l’Acheteur, laquelle politique prévoit, à tout le moins, des mesures qui garantissent l’intégrité et la sécurité matérielles de l’ensemble des expéditions, les protégeant de l’introduction non autorisée de matières nocives ou dangereuses. L’Acheteur se réserve le droit d’exiger des renseignements dans le cadre de cette politique, de procéder à des vérifications sur place de l’installation du Vendeur et de ses pratiques afin d’établir si cette politique, et la mise en œuvre par le Vendeur de cette politique, suffisent raisonnablement à protéger les intérêts de l’Acheteur. Si l’Acheteur établit de manière raisonnable que la politique du Vendeur en matière de sécurité et de gestion de crises et/ou la mise en œuvre de cette politique ne suffisent pas afin de protéger les biens et les intérêts de l’Acheteur, l’Acheteur peut transmettre au Vendeur un avis de cette constatation. Sur réception d’un tel avis, le Vendeur dispose de quarante-cinq (45) jours afin d’apporter les modifications à la politique et de prendre les mesures en matière de mise en œuvre qu’exige raisonnablement l’Acheteur. Tous les frais associés à l’élaboration et à la mise en œuvre du plan du Vendeur en matière de sécurité et de gestion de crises ainsi qu’aux recommandations faites par l’Acheteur à cet égard incombent au Vendeur. En outre, le Vendeur convient d’examiner les exigences imposées par les programmes de sécurité nationale applicables, y compris, sans s’y limiter, le programme intitulé Customs-Trade Partnership Against Terrorism (« C-TPAT ») des États-Unis (le cas échéant) et doit (i) se doter d’un plan écrit faisant état des procédures en matière de sécurité conformément aux recommandations faites dans le cadre de ces programmes; et (ii) informer l’Acheteur de son adhésion et de toutes modifications apportées à de tels programmes.
21. COMPORTEMENT DANS LE RESPECT DE LA DÉONTOLOGIE. Le Vendeur déclare et garantit (i) soit qu’il se conformera au Code de déontologie de Polymershapes (accessible en anglais seulement à l’adresse codeofconduct.pdf) (ii) soit qu’il se conformera à son propre code, qui est, pour l’essentiel, semblable à celui de Polymershapes.
22. EXEMPLAIRES. Le Contrat d’achat et toute modification qui y est apportée, en totalité ou en partie, peuvent être signés et remis en un nombre illimité d’exemplaires, dont chacun, lorsqu’il a été signé et remis, constitue un original, mais dont l’ensemble constitue un seul et même acte. Le Contrat d’achat et toute modification qui y est apportée, en totalité ou en partie, peuvent être transmis par télécopieur ou au moyen de l’envoi électronique d’une copie numérisée.
